GENERAL TERMS AND CONDITIONS OF SALE Acceptance of Terms: By participating in any auction, bidders agree to be bound by these Terms and Conditions, as well as any specific terms stated in auction listings. Bidding signifies explicit acknowledgment and acceptance of all terms. Buyer's Premium and Processing Fees: The winning bidder ("Buyer") is responsible for a NON-REFUNDABLE BUYER’S PREMIUM of Ten Percent (10%) of the winning bid, plus a mandatory non-refundable processing fee of Two Percent (2%). Fees are payable in U.S. Dollars via wire transfer from a U.S. Bank or Credit Union within two (2) business days of auction close. BROKER PARTICIPATION INVITED: Licensed real estate brokers ("Cooperating Brokers") are hereby formally invited to partake in the auction proceedings. Land Gavel LLC shall remunerate a commission fee calculated as two percent (2%) of the final hammer price to a Cooperating Broker, contingent upon the following conditions: (i) the Cooperating Broker's client ("Buyer") is the successful bidder and consummates the transaction, and (ii) the Cooperating Broker is not statutorily precluded from receiving such commission. Property Conditions: All properties are sold "AS IS" and "WITH ALL FAULTS." Land Gavel LLC makes no warranties. Bidders must rely on their own due diligence. Financing and Withdrawal: Auctions are cash transactions and are not contingent on financing. A withdrawal fee is applicable for contract rescission prior to closing. All properties includes a confidential reserve price to ensure fairness and competitiveness. Title and Closing: Properties are conveyed via Deed, subject to encumbrances of record. Purchase balance and closing costs, along with all closing costs being the responsibility of the Buyer, are due within specified periods from the Effective Date of the Real Estate Sales Contract. Rights of the Seller and Auctioneer: The Seller and Auctioneer reserve rights to postpone, cancel, or modify the auction. Real Estate Sales Contract terms prevail over any inconsistencies. Contractual Obligations: Bidders are advised to independently verify all information. Assignment of contracts requires Seller's written consent. Buyer defaults may result in forfeiture of deposits as liquidated damages. Limitation of Liability: Land Gavel LLC limits its liability to the fullest extent permitted by law. Liability for indirect, incidental, consequential, or punitive damages is explicitly excluded and disclaimed. Entire Agreement: These Terms and Conditions, along with any other agreements or policies referenced and agreed upon, constitute the entire agreement between Land Gavel LLC and the bidder. No other agreements, verbal or written, shall be valid unless expressly incorporated herein. Severability: If any part of these Terms and Conditions is deemed unenforceable, the remainder will continue in full force and effect. Bidder Registration and Responsibility: Registrants must be of legal age and capacity. All information provided during registration must be accurate and complete. Bidders are responsible for all bids placed under their account. Item Descriptions and Cataloguing: Descriptions are guides and may contain inaccuracies. Auctioneer disclaims representation of accuracy. Bidder responsibility includes verification of item conditions and specifications. Auction Process and Bidding: Auctions may have soft close mechanisms and specific bidding processes, as detailed per auction. Bidders must adhere to these processes, including timelines for bid submissions and payments. Finality of Sale: All sales are final. Payment in full is required for release of purchased items. Electronic Signature and Contract Execution: Bidders agree to electronic signing of contracts and acknowledge the legal binding effect of such signatures. Legal Compliance and Dispute Resolution: Participation in auctions is subject to compliance with applicable laws. Disputes will be addressed through mediation or as prescribed by law. Miscellaneous: Terms are subject to updates by the Auctioneer. The laws of the jurisdiction in which the auction is held govern these Terms and Conditions.
