Registration:
This is an online only auction with bidding through HiBid. Bidding will generally end in numerical
order with 5 items ending every minute. Changes may occur for specialty auctions. If there is
bidding activity in the last 2 minutes a lot is open, the end time for that lot will be extended 2
minutes until there is no further bidding in that time. Due to the extended bid times, some lots may
stay open while the regular closing schedule of other lots continues--there may be several lots
ending simultaneously. You may bid any time up until the ending time for each item.
Agent Representation:
Representation by a Real Estate Agent is welcome. All Agents must register
their clients with Black and Gold in writing prior to the buyer bidding. Commissions will not be
honored without documented representation. Please register clients by sending attached Agent
Registration form to info@blackanddgoldauctions.com
Online registration through HiBid is required. By registering, all bidders acknowledge having read
and agree to be bound by the Auction Terms and Conditions. A Bidder Registering To Bid In The
Auction Confirms That Bidder Fully Understands These Terms Of Auction And Unconditionally And
Irrevocably Agrees To Be Bound By Them, Along With Any Additions, Deletions, Discoveries, And/Or
Revisions Published To This Document By Auctioneer Before The Commencement Of The Auction.
All property is being sold AS IS, WHERE IS with no warranty written Black & Gold Auctions, or by the
Sellers. Any personal property remaining onsite at time of closing will transfer with the sale of the
property. Successful bidder not executing and returning the contract with earnest money deposit by
end of business day of the auction will be considered in default. In the event a winning bidder fails
to successfully submit the signed Contract for Sale of Real Estate and required earnest money
deposit, B&G reserves the right to charge the winning bidder a penalty fee of up to $2,000.00.
Additional default remedies are reserved by B&G and the Seller as provided in the Auction Terms
and Conditions and the Contract for Sale of Real Estate. B&G reserves the right to sell to the
second-highest bidder in the event the original high bidder does not comply with the terms of sale.
Seller reserves the right to accept final bid.
Buyer's Premium:
A buyer’s fee of (3%) shall be added to the high bid and included in the total purchase price.
Earnest Money Payment:
The successful bidder shall be required to make a $15,000.00 (non-refundable earnest money
deposit) in the form of a personal or business check, certified check, or wire transfer with 2
business days of auction with remaining balance due upon closing.
Financing:
Financing is not a contingency of sale in this offering. It is recommended bidders ensure in advance
that they can obtain financing to close the transaction. This is considered a cash transaction.
Closing/Costs:
Contract and closing will be with Boone Central Title Company in Columbia, MO within 30 days of
the close of the auction. $15,000 due in certified funds within 2 days of the auction close.
Possession:
Purchaser shall receive possession of property at closing.
Title:
Seller shall provide (at seller’s expense) an Owner’s Policy of Title Insurance in the amount of the
total purchase price and shall execute a warranty or Trustee’s deed conveying the real estate to the
buyer. Property easements, exceptions, and any other applicable legal documents.
Real Estate Taxes and Assessments: Any unpaid real estate taxes shall be paid by the Seller at
closing.

Disputes:
Any dispute between B&G, its Agents or Representatives, and the Buyer(s) will be tried in a court of
jurisdiction in Boone County, Missouri. By bidding on any item, buyer agrees to all terms and
conditions set forth.
Hold Harmless:
Buyer and or Bidder agrees to hold harmless and indemnify Black & Gold Auctions, its Agents,
Owners, Directors, Employees, and its Representatives from any and all claims, damages or suits
including but not limited to awards, judgments, costs, fees, etc.

bidder and Black and Gold Auctions. By registering to bid, you are agreeing to these terms and are
bound by them.
