Auction Terms & Conditions Terms and Conditions of Sale Each Lot in an Unique Auctioneers, LLC auction is offered subject to the following Terms and Conditions of Sale ("Terms"), as supplemented in writing or otherwise by us at any time prior to the sale. By Registering to Bid, Bidding, or otherwise purchasing a Lot from Unique Auctioneers, you agree to be bound by these Terms. In these Terms, "we," "us," "our," "Unique Auctioneers" or similar terms mean Unique Auctioneers, LLC and any of its agents, and "you," "your," "buyer" or similar terms mean a person Bidding on or buying a Lot at a Unique Auctioneers Auction, Private Sale or otherwise through us. Please see Section 9 below for the meanings of capitalized terms or phrases that are not defined elsewhere in these Terms. 1. BIDDING AT AUCTION Prerequisites To Bid, you must Register to Bid with us in advance of the sale. In addition to our general registration requirements, we reserve the right to require photo identification and bank references. Assumed Costs and Risks By Bidding, you understand that any Bid you submit can and may be regarded as the Purchase Price Bid for a particular Lot; accordingly, your Bid constitutes a legally binding agreement to purchase the Lot in accordance with your Bid if accepted by the auctioneer. You agree to assume personal responsibility to pay the Purchase Price Bid, plus the Buyer's Premium and any additional charges that become due and payable in connection with your purchase of a Lot; and that upon the fall of the auctioneer's hammer or other indication by the auctioneer that bidding has closed for a particular Lot, if your last Bid is the Purchase Price Bid, you agree to purchase the Lot and assume all risk of loss and damage to such Lot, in addition to any obligations, costs and expenses relating to its handling, shipping, insurance, taxes and export. Auctioneer Discretion The auctioneer has the right, in his absolute discretion, to determine the conduct of any Unique Auctioneers auction sale, including, without limitation, to advance the bidding, to reject any Bid offered, to withdraw any lot, to reoffer and resell any lot, and to resolve any dispute in connection with such sale. In any such case, the judgment of the auctioneer is final, and shall be binding upon you and all other participants in such sale. Reserve All Lots may be offered subject to a confidential minimum price below which the Lot will not be sold (the "Reserve"). The auctioneer may open the bidding on any lot below the Reserve by placing a Bid on behalf of the Seller. The auctioneer may continue to Bid on behalf of the Seller up to the amount of the Reserve, either by placing consecutive Bids or by placing Bids in response to other bidders. Remote Bidding As a convenience to buyers who have registered to Bid, we will use reasonable efforts to execute Bids delivered to us via the Internet. We assume no responsibility for a failure to execute any such Bid, or for errors or omissions made in connection with the execution of any such Bid. You acknowledge that there may be additional terms and conditions governing the use of any third-party service in connection with Bidding on the Internet, including, but not limited to, those providing for additional charges and fees relating to the execution of such Bids.Unique Auctioneers has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites or services. You expressly release Unique Auctioneers from any and all liability arising from your use of any third-party website or services. Additionally, your dealings with such third party sites, including payment and delivery of goods, and any other terms (such as warranties) are solely between you and such third parties. We encourage you to be aware of, and to read, the terms and conditions and privacy policy of any third-party website or service that you visit. 2. PAYMENT FOR AND COLLECTION OF PURCHASES You Pay Buyer Costs If your Bid results in a Purchase Price Bid, you agree to pay the following charges associated with the purchase of such Lot: a. Hammer Price (for Auction Sales) or Lot purchase Price (for Private Sales); b. Buyer's Premium (for Auction Sales); which is a percentage of the Hammer Price (or part thereof). No additional % is added to buyer's premium for any lots purchased thru an online bidding platform. c. any applicable sales tax, late payment charges, storage fees, Enforcement Costs or other costs, damages or charges assessed in accordance with these Terms (for all sales) ((a) - (c) collectively, the "Buyer Costs"). This auction is exempt from sales tax. Sales tax will not be collected for this auction. Payment Procedure You agree to pay all Buyer Costs immediately following Unique Auctioneers acceptance of the Purchase Price Bid. All payments must be made in US Dollars, in any of the following acceptable forms of payment: Cash Visa, MasterCard, Discover or American Express. Title And Risk Of Loss Title to a Lot purchased in accordance with these Terms shall not pass to the buyer until Unique Auctioneers has received the Buyer Costs (including clearance of checks). We reserve the right to delay delivery of or otherwise prevent access to any purchased Lot until Unique Auctioneers has received all Buyer Costs. Notwithstanding passage of title, risk of loss to a Lot passes immediately to buyer upon Unique Auctioneers' acceptance of a Purchase Price Bid. Security As security for full payment to us of all amounts due from the buyer and prompt collection of your purchased Lots in accordance with these Terms, we retain, and the buyer grants to us, a security interest in any Lot purchased by the buyer in accordance with these Terms (and any proceeds thereof), and in any other property or money of the buyer in our possession or coming into our possession subsequently ("Security Interest"). We may apply any such money or treat any such property in any manner permitted under the Uniform Commercial Code and/or any other applicable law. Upon request, you will sign and promptly return any documents sought by us to protect and confirm our interests including but not limited to a UCC-1 Financing Statement. Delivery Buyer is solely responsible for collection of purchased Lots from the address specified in the auction details section of our website, including making arrangements and paying all costs associated with packing and delivery. We may, as a courtesy to the buyer, provide or arrange packing, shipping or similar logistical services, or refer the buyer to third parties who specialize in these services. Any such services referred, provided or arranged by us are at the buyer's sole risk and expense, we assume no responsibility for any act or omission of any party in connection with any such service or reference, and we make no representations or warranties regarding such parties or their services. You expressly release Unique Auctioneers from any and all liability arising from your use of any third-party website or services. Export, Import and Endangered Species Licenses and Permits Before bidding for any property, prospective buyers are advised to make their own inquiries as to whether a license is required to export a lot from the United States or to import it into another country. Prospective buyers are advised that some countries prohibit the import of property made of or incorporating plant or animal material, such as coral, crocodile, ivory, whalebone, Brazilian rosewood, rhinoceros horn or tortoiseshell, irrespective of age, percentage or value. Accordingly, prior to bidding, prospective buyers considering export of purchased lots should familiarize themselves with relevant export and import regulations of the countries concerned. It is solely the buyer's responsibility to comply with these laws and to obtain any necessary export, import and endangered species licenses or permits. Failure to obtain a license or permit or delay in so doing will not justify the cancellation of the sale or any delay in making full payment for the lot. As a courtesy to clients, Unique Auctioneers will advise clients who inquire about lots containing potentially regulated plant or animal material, but we do not accept liability for errors or for failing to advise on lots containing protected or regulated species. Storage, Abandonment And Related Charges All purchased Lots not collected from the address specified on the invoice, by buyer or buyer's authorized agents within the scheduled pick up times will forfited and no refunds will be given for items not picked up. A late payment fee equal to 1.5% per month may be assessed on any Buyer Costs remaining unpaid three (3) days following the Sale Date. If a purchased Lot has not been collected from us within the scheduled pick up times, the item will be forfited and the buyer will be deemed to have defaulted under these Terms, and, in addition to any other remedies we may have at law or equity, we shall be entitled to foreclose on the Security Interest by selling such Lots and using the proceeds from such sale for any purpose (including payment of storage fees and administrative expenses of handling such matter), without any further liability to the buyer. You agree that this remedy is reasonable in light of the costs Unique Auctioneers would have to incur to continue to store and process purchased Lots after sale. Breach If a buyer fails to make timely payment as required in these Terms, or breaches any other covenant, representation or warranty in this Agreement, we shall be entitled, in our discretion, to exercise any remedies legally available to us, including, but not limited to, the following: i. cancellation of the sale of the Lot to the non-paying buyer, including the sale of any other Lot to the same buyer (whether or not paid); ii. reselling the Lot, at public or private sale, with or without reserve; iii. retention of any amounts already paid by the buyer as a processing fee (which you acknowledge would be reasonable in light of the costs Unique Auctioneers would have to incur to process your breach and attempt to re-auction or resell the Lot); iv. rejection of any Bids by the buyer at future auctions; v. setting-off any amounts owed by Unique Auctioneers to the buyer in satisfaction of unpaid amounts; and/or vi. taking any other action we deem necessary or appropriate under the circumstances. 3. LIMITED WARRANTY "As Is", "Where Is". Except as expressly stated below, each Lot is sold "as is" "where is", with no representation or warranty of any kind from any party (including Unique Auctioneers or the consignors of the Lots), express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Because you are responsible for satisfying yourself as to condition or any other matter concerning each purchased Lot, you are advised to personally examine any Lot on which you intend to bid prior to the auction and/or sale. As a courtesy, condition reports for any Lot are provided by Unique Auctioneers prior to the sale, but Unique Auctioneers assumes no responsibility for errors and omissions contained in any such report or other description of a Lot that may be available on the Unique Auctioneers website. Any statements made by Unique Auctioneers with respect to a Lot (whether in a condition report or on the Unique Auctioneers website), whether orally or in writing, are intended as statements of opinion only, are not to be relied upon as statements of fact and do not constitute representations or warranties of any kind. Limit Of Liability. IN NO EVENT SHALL UNIQUE AUCTIONEERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY CONSEQUENTIAL, EXEMPLARY, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR SIMILAR DAMAGES, WHETHER FORESEEABLE OR UNFORESEEABLE, REGARDLESS OF THE CAUSE OF ACTION ON WHICH THEY ARE BASED, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OCCURRING. WITH RESPECT TO ANY SALE OF A LOT, IN NO EVENT SHALL BLUE SKIES AUCTION BE LIABLE TO YOU OR ANY THIRD PARTY FOR LOSSES IN EXCESS OF THE PURCHASE PRICE PAID BY YOU TO BLUE SKIES AUCTION FOR SUCH LOT TO WHICH THE CLAIM RELATES. 4. RESCISSION OR VOIDING OF SALE BY UNIQUE AUCTIONEERS If we become aware of an adverse claim of a third party relating to a Lot purchased by you, we may, in our discretion, rescind the sale. Upon notice of our election to rescind a sale, you will promptly return such Lot to us, at which time we will refund to you the Hammer Price and Buyer's Premium paid to us by you for such Lot. This refund will represent your sole remedy against us and/or the consignor in case of a rescission of sale under this paragraph, and you agree to waive all other remedies at law or equity with respect to the same. If you do not return such Lot to us in accordance with this paragraph, you agree to indemnify, defend and hold Unique Auctioneers, its officers, directors, employees, agents and their successors and assigns, harmless from any damages, costs, liabilities or other losses (including attorney's fees) arising as a result of such third party claim. 5. COPYRIGHT NOTICE Unique Auctioneers and its licensors will retain ownership of our intellectual property rights, including, without limitation, rights to the copyrights and trademarks and other images, logos, text, graphics, icons, audio clips, video clips, digital downloads in, and the "look and feel" of, the Unique Auctioneers website and each Unique Auctioneers Catalogue. You may not obtain any rights of ownership, use, reproduction or any other therein by virtue of these Terms or purchasing a Lot. You may not use any of our trademarks or service marks in any way. 6. SEVERABILITY If any provision of these Terms is held by any court to be invalid, illegal or unenforceable, the invalid/illegal/unenforceable aspect of such provision shall be disregarded and the remaining Terms enforced in accordance with the original document and in accordance with applicable law. 7. GOVERNING LAW These Terms shall be governed by and interpreted in accordance with the law of the State of Indiana and, by Registering to Bid or Bidding in the Unique Auctioneers event (whether personally or by agent), the you agree to submit to the exclusive jurisdiction of the county, state and federal courts located in Howard County, Indiana / Marion County, Indiana in connection with any matter related to these Terms, the Unique Auctioneers event or other sale of a Lot to you by Unique Auctioneers. 8. EXPENSES In addition to the foregoing, you agree to pay to Unique Auctioneers or Seller on demand the amount of all expenses paid or incurred by Unique Auctioneers and Seller, including attorneys' fees and court costs paid or incurred by Unique Auctioneers or Seller in exercising or enforcing any of its rights hereunder or under applicable law, together with interest on all such amounts at 1.5% per month (the "Enforcement Costs") within thirty (30) days of the buyer's receipt of Unique Auctioneers' invoice for such Enforcement Costs. 9. DEFINITIONS The following terms have the following meanings: Bidding, Bid or place a Bid means a prospective buyer's indication or offer of a price he or she will pay to purchase a Lot at a Unique Auctioneers event which conforms with the provisions of Section 2. Buyer Costs has the meaning given in Section 3. Buyer's Premium means the following for any Lot: (i) A percentage of the Hammer Price (or part thereof). No additional % is added to buyer's premium for any lots purchased thru an online bidding platform. Hammer Price means the price for a Lot established by the last bidder and acknowledged by the auctioneer before dropping the hammer or gavel or otherwise indicating the bidding on such Lot has closed. Lot means the personal property offered for sale by Unique Auctioneers, whether at a Unique Auctioneers event, Private Sale or otherwise. Passed Lot is a Lot which does not reach its reserve or otherwise fails to sell at a Unique Auctioneers event. Private Sale is a non-public, discrete sale of a Lot (such Lot typically not being exhibited by Unique Auctioneers). Purchase Price Bid means the bid submitted by a Buyer for a Lot which is accepted as the Hammer Price, or in the case of Private Sales, the price accepted by Unique Auctioneers for the sale of such Lot. Register to Bid or Registering to Bid means providing Unique Auctioneers with your complete, accurate contact information (including address, phone and email) and a current, valid credit card number (including security code), and in the case of online bidders, registration with such authorized third-party online auctioneer service providers described on our website on the How to Bid page. Reserve has the meaning given in Section 2. Sale Date means, in the case of Unique Auctioneers events, the date of the closing of bidding for a particular Lot and acceptance of the Purchase Price Bid for such Lot; in the case of all other sales by Unique Auctioneers, the date Unique Auctioneers agrees in writing to sell a Lot to a buyer. Security Interest has the meaning given in Section 3. Seller means the owner of a Lot offered for sale at a Unique Auctioneers event, Private Sale or other sale administered by Unique Auctioneers. Terms has the meaning given in the Introduction to this Agreement.. Unique Auctioneers event means the sale of Lots to the public through competitive bidding administered by Unique Auctioneers (including sales administered through a third-party Internet auctioneer authorized by Unique Auctioneers). ***************************************************************** Terms of Use For AuctionTime, EquipmentFacts and HiBid These Terms of Use (these "Terms"), together with our Privacy Policy, govern your access to and use of https://www.auctionTime.com ("AuctionTime"), https://www.equipmentfacts.com ("EquipmentFacts"), and https://www.hibid.com ("HiBid") (collectively our "Sites"), including all services we now offer or may offer in the future through the Sites (our "Services"). Any users who choose to conduct or participate in auctions using our Services are acting on their own behalves and are responsible for any actions that they may take with respect to any auctions or related transactions that they may enter into. We do not represent any users of our Sites or Services, and we are not a party to any transaction that may occur between users. You are solely responsible for resolving any disputes that you have with other users of our Sites or Services, whether as a visitor, Bidder, or Seller. However, we may, in our sole discretion, monitor or inquire about disputes or issues between users in order to protect our Sites and Services and address potential non-compliance of these Terms by a user. We are not in the business of the selling or buying of any Listed Item(s) on a commission basis. We do not take any Listed Item(s) on consignment. All transactions and the terms of any agreements that may occur between Sellers and Bidders or users of our Site or Services are determined solely through Seller and Bidder, user to user interaction and agreement. We are not acting as an employee, agent, representative, broker, dealer, marketing agency, or marketing agent of any Seller, Bidder, or user of our Site or Services. We do not produce, handle, hold, ship, feed, process, distribute, transport, deliver, or take possession of any Listed Item(s) at any time. We do not collect, handle or remit any money, payments, checkoff fees, receivables or proceeds from any transaction that may occur between Sellers and Bidders for the sale or purchase of livestock, poultry, or any other animals or any users of our Site or Services concerning the sale or purchase of livestock, poultry, or any other animals. We are not registered with the U.S. Department of Agriculture, Grain Inspection, Packers and Stockyards Administration Packers and Stockyards Program, pursuant to the provisions of the Packers and Stockyards Act, 1921, as amended and supplemented (7 U.S.C. 181 et seq.). We are not bonded for the protection of Sellers or Bidders or any user of our Site or Services. Additional Terms. When you access and use our Sites and Services as a Seller or a Bidder, you also agree to the following (each of which shall be incorporated, as applicable, based on your use of our Services into these Terms): Bidder User Terms (applicable if you choose to participate in an auction using our Services as a bidder or buyer ("Bidder")). Seller User Terms (applicable if you choose to conduct an auction using our Services as a seller ("Seller")). Access and Use. While we use reasonable efforts to provide our Sites and Services to you for so long as you are compliant with these Terms, we do not guarantee that they will be secure, or free from bugs or viruses. You are responsible for configuring your information technology, computer programs and platforms in order to access or use our Sites and Services. You should use your own virus protection software. You may use our Sites and Services only if you can form a binding contract with us, in compliance with these Terms and all applicable local, state, national, and international laws, rules and regulations. Any use of our Sites or Services by anyone under the age of majority in his/her state of residence is strictly prohibited. Our Services are not available to any users we have previously removed or suspended from our Services. We may suspend or terminate your access to our Services at any time, for any reason (such as your material breach of these Terms, our reasonable belief that it is necessary to protect the safety or property of others, to prevent fraud or for risk assessment purposes) or for no reason. We reserve the right to limit your use of our Sites or Services or terminate your account immediately, without notice or refund of any amounts that you may have paid to us. Accounts. If you use our Services as a Bidder or Seller you must be registered with us and you will be assigned to a user account. By registering with us and/or using our Services as a Bidder or Seller, you represent and warrant that you (a) will abide by all of the terms set forth herein; (b) will not register for more than one account; (c) will not provide false, deceptive, fraudulent, fictitious, or misleading information about yourself or the items, if any, that you list for auction (the "Listed Items"); (d) will not create any username or post any information on our Sites or Services that is offensive, rude, disparaging, intended to deceive or delude other users/visitors, threatening, abusive, harassing, hateful, defamatory, pornographic, political, racist, or otherwise unlawful or offensive, or that does not generally pertain to the designated topic or theme; (e) will maintain the security of any user identification code and/or password associated with your account, notify us immediately if you suspect that such security has been breached, and accept all risks of authorized and unauthorized access to your account and the information you provide to us; and (f) will not violate the intellectual property or privacy rights of any third party. If you register or use our Services on behalf of a third party (such as another person or legal entity), then you represent and warrant that you are an authorized representative of that person or entity with the authority to bind such person or entity to these Terms, and you agree to these Terms on behalf of that person or entity. Accounts are non-transferable. Only you may use your user account. You are liable for all activities that are undertaken using your user account. We may verify your registration and account by collecting contact information (including, but not limited to, legal company name, street address, and employer identification number) and banking information from you, directly calling you to confirm the accuracy of your account information, and taking whatever additional steps we deem necessary. Your account provides you access to participate in auctions or list Listed Item(s) through our Services. It also gives you access to additional services and functionality that we may establish and maintain from time to time, in our sole discretion, including but not limited to the ability: for Bidders to view their bidding history; for Bidders to create and add items to their own watchlist; for Sellers to view post-auction information for their auctions; and for Bidders and Sellers to receive email updates and other occasional news from our Sites. Intellectual Property Rights. We are the owner or the licensee of all intellectual property rights to and in our Sites and Services, and in the content published on them. Those rights are protected by copyright, trademark and other applicable laws, as well as by treaties around the world. You will not use, copy or otherwise take any action with respect to our Sites and Services or such content except as expressly permitted by these Terms. You will, likewise, respect the intellectual property rights of others in exercising the rights granted to you hereunder. Acceptable Usage. You may access and use our Services solely to list Listed Item(s) for sale, conduct or participate in auctions and view Listed Item(s) for your potential bidding and purchase. If you copy, redistribute or resell any of our Services or any content made available to you through our Sites or our Services, your right to access and use both will cease immediately, and you must take down or destroy any content you have obtained in violation of these Terms. Prohibited Uses. As part of our Sites and Services, we may provide access to data, information, and content relating to Listed Item(s) available for auction, including without limitation current and historical Listed Item(s) and related information, materials, and content (our "Auction Information"). You must not: modify or alter any Auction Information, content, materials or portions of our Sites or Services in any way; use any Auction Information, illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text, or any text separately from any accompanying illustrations, photographs, video or audio sequences or any graphics; remove any indications of ownership from any Auction Information or content which came from our Sites or Services, or claim it as your own or as that of any other entity or individual; use any part of our Services, Auction Information, or content on our Services for any purpose not expressly provided for in Section 6 without obtaining a license to do so from us or our licensors; access, or attempt to access, parts of our Sites or Services that are not intended for public use (including but not limited to website administration areas); modify, adapt or reverse engineer any aspect of our Sites, Services or Auction Information; conduct any web scraping, web harvesting, web data extraction, or any other data scraping of Auction Information or our Sites or Services; use any robot, spider, scraper, data mining tool, data gathering tools, data extraction tools, or any other automated means to access our Sites or Services, or collect, copy or record our Auction Information or content off our Sites or Services; take any action that imposes or may impose (in our sole discretion) an unreasonable or disproportionately large load on our infrastructure; copy, download, distribute, transmit, reuse, report, reproduce, modify, use, create derivative works from, or publicly display any Auction Information or content of our Sites or Services, including the text, images, audio, and video, for public or commercial purposes, including generating any reports or aggregating any data or content; extract reports from our Auction Information or Services other than records relating to your auction or bid history; take photos, screenshots or other images of our Auction Information, Sites or Services or any content therein; use our Auction Information or our Sites or Services in competition with us, to develop competing products or services, or otherwise to our detriment or commercial disadvantage; use our Auction Information or our Services for benchmarking or competitive analysis of our Services; identify us or display any portion of our Auction Information, Sites or Services on any site or service that disparages us or our products or services, or infringes any of our intellectual property or other rights; bypass any measures we may use to prevent or restrict access to our Services, including our robot exclusion headers; attempt to disrupt or interfere with the Auction Information or our Sites or Services in any way or with another user’s/visitor’s use of our Sites or Services, or use the Auction Information or our Sites or Services as a means of disrupting or interfering with other websites or networks; probe, scan or test for vulnerabilities of our Sites, Services, other websites, or any networks connected to them; willfully corrupt any Auction Information, data, documents or content available through our Sites or Services; knowingly or recklessly transmit or distribute a virus into our network and computer systems; or assist, encourage or permit any other person to do any of the acts described above. Breach of Usage. All the prohibited uses set forth in Section 7 above are forbidden regardless of the means used, including but not limited to, hacking or by the introduction of any worms, Trojan horses, viruses, unauthorized, malicious or harmful code or other harmful software. By breaching this provision, you may be committing a criminal offence. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Services will cease immediately. Uploading or Posting Content to Our Sites or Services We will collect data, content and information that you, as a visitor, Seller or Bidder, provide us or that is collected by us as you use the Sites or Services ("User Content"). You hereby grant to us, and represent and warrant that you have all rights necessary to grant to us, a worldwide, perpetual, irrevocable, non-exclusive, sublicenseable, transferable, and royalty-free right and license to use, store, copy, distribute, and make available to third-parties all User Content. We are not responsible for any loss or damage to your User Content while it is in our possession, and you should separately maintain copies of the User Content you provide to us. To the extent you are only auctioning a Listed Item online, our Services shall be the exclusive listing for that Listed Item and you shall not offer for sale or sell the Listed Item in any other manner until the earlier of (a) the date the Listed Item is auctioned through our Services; (b) the date you withdraw the Listed Item from our Services as permitted herein; or (c) the date on which the auction with the Listed Item expires. Search Results. We cannot guarantee that your Listed Item(s) will appear in any specific order in search results on our Sites and Services. Search order results will fluctuate based on the search options used, including but not limited to, price and auction end time. Representations and Warranties. You represent and warrant that any Listed Item(s) placed by you: are owned by you, or you have the legal right and authority to sell such Listed Item(s) on behalf of the legal owner; are free and clear of any and all registered and unregistered liens, security interests, tax or duty obligations or other encumbrances or contrary claims whatsoever, except as expressly disclosed by you within the applicable listing (the "Encumbrances"); are in good operating condition, free of material defects, except as disclosed by you within the applicable listing; have not been modified or tampered with in any manner that would be contrary to applicable legislation or misleading to a Bidder, including, but not limited to, tampering with emission control devices; have not been fraudulently obtained, and are not stolen or counterfeit; only include descriptions, pictures and videos that are accurate; in the case of all motor vehicle equipment, have never been re-built, salvaged or glidered except as expressly disclosed by you within the applicable listing(s); include a description of all applicable odometer and hour meters that reflect actual mileage or usage unless otherwise expressly disclosed by you within the applicable listing(s); and include any and all legally required disclosures that may be applicable to the auction and/or sale of the Listed Item(s) to a Bidder. You further represent and warrant that: you are solvent and have not made, nor are you aware of, any assignment, proposal or other proceeding for the benefit of your creditors; the offering for sale, advertising and sale of the Listed Item(s) will not contravene or infringe upon any patent, copyright, trademark, agreement or similar right of any third party; you are duly authorized to complete and provide all listing information for Listed Item(s); any User Posted Terms for your Listed Item(s) are legal and do not violate any applicable laws, rules, regulations; and as it pertains to your use of https://www.auctiontime.com, https://www.equipmentfacts.com, and (to the extent applicable) https://www.HiBid.com as a Seller, you are an authorized dealer and/or auctioneer and/or a livestock, animal, fowl, or poultry producer, farmer, or rancher and have and shall maintain all applicable and necessary licenses, permits, permissions and authorizations to place Listed Item(s) for sale and conduct auctions using our Services. No Guarantee to Proceeds. We do not guarantee that Bidders will bid on Listed Item(s), that you will be able to sell Listed Item(s) using our Services, or that you will be able to collect the purchase price from a Bidder who has a winning bid for Listed Item(s). Purchase and Sale of Listed Item(s). The actual purchase and sale of Listed Item(s) following an auction, is and shall remain the sole responsibility of the Seller who placed the Listed Item(s) for auction and the Bidder who had the winning bid. If you are the Seller, you must coordinate the purchase and sale of the Listed Item(s) directly with the Bidder who is the winning bidder for the Listed Item(s). You assume all risk and liability associated with any agreement(s) you enter into with the Bidder. We are not a party to, and do not facilitate, the purchase and sale of any Listed Item(s). We are not in the business of the selling or buying of any Listed Item(s) on a commission basis. We do not take any Listed Item(s) on consignment. All transactions and the terms of any agreements that may occur between the Seller who placed the Listed Item(s) for auction and the Bidder who had the winning bid are determined solely through interaction and agreement between the Seller who placed the Listed Item(s) for auction and the Bidder who had the winning bid. We are not acting as an employee, agent, representative, broker, dealer, marketing agency, or marketing agent of the Seller who place the Listed Item(s) for auction or the Bidder who is the winning bidder of the Listed Item(s) or for any user of our Site or Services. We do not produce, handle, hold, ship, feed, process, distribute, transport, deliver, or take possession of any Listed Item(s) at any time. We do not collect, handle or remit any money, payments, checkoff fees, receivables or proceeds from any transaction that may occur between the Seller who places livestock, poultry, or any other animals for auction and the Bidder who had the winning bid for livestock, poultry or any other animals or for transactions which may occur between any users of our Site or Services concerning the sale or purchase of livestock, poultry, or any other animals. We are not registered with the U.S. Department of Agriculture, Grain Inspection, Packers and Stockyards Administration Packers and Stockyards Program, pursuant to the provisions of the Packers and Stockyards Act, 1921, as amended and supplemented (7 U.S.C. 181 et seq.). We are not bonded for the protection of the Seller who placed the Listed Item(s) for auction or for the protection of the Bidder who had the winning bid or for the protection of any user of our Site or Services. Additional Seller Indemnity. In addition to the indemnification provisions set forth in the Terms of Use For AuctionTime, EquipmentFacts and HiBid, you agree to indemnify, defend, and hold harmless the Indemnified Parties from and against any and all damages, costs, claims or liability (including reasonable attorneys’ fees) arising out of or resulting from (i) any breach of your representations, warranties or covenants set out in these Seller Terms; (ii) hazardous materials associated with Listed Item(s) or contamination resulting from any leakage, spills, or malfunction of Listed Item(s); (iii) deficiencies in the provision of documents required for the purpose of titling or registering any part of the Listed Item(s) by any Bidder thereof; (iv) taxes or customs duties or check off fees payable in respect of, the Listed Item(s) or any part thereof; (v) deficiency in compliance with any applicable environmental rules or regulations related to the Listed Item(s); (vii) any deficiency in compliance with any laws, rules or regulations concerning consumer protection, privacy, or taxes related to your use of our Services and any transactions with other users; (viii) deficiency in compliance with any applicable manufacturer or government restrictions related to Listed Item(s); (ix) any deficiency in compliance with any local, state, federal, and international laws, statutes, ordinances, rules, regulations licensing requirements/laws, reporting requirements/laws, bonding requirements/laws, import/export laws, customs requirements/laws, health requirements/laws, certification requirements/laws, nutrition requirements/laws, checkoff fee requirements/laws, production requirements/laws, and animal vaccinations requirements/laws applicable to the buying and selling, advertising, labeling, health, safety, care, production, feeding, watering, handling, holding, transport, shipping, delivery, receipt, and import/export of livestock, poultry, or any other animals including but not limited to cattle, bison, horses, mules, asses, burros, sheep, swine, hogs, goats, chickens, turkeys, ducks, geese or any other kinds of bovine or equine species or any other types of domestic fowl or poultry or any other types of specialty or alternative livestock; and (x) your User Posted Terms. Conflicts. In the event of a conflict between the provisions set forth in these Seller Terms (including the additional HiBid Terms and Conditions and the additional AuctionTime Terms and Conditions for the sale and purchase of livestock, poultry, or any other animals set forth below) and the Terms of Use For AuctionTime, EquipmentFacts, and HiBid, the Terms of Use For AuctionTime, EquipmentFacts, and HiBid shall prevail. Additional HiBid Terms and Conditions. The following HiBid Terms and Conditions (collectively, the "HiBid Terms") apply to Sellers who use our Services on HiBid, including those users who place Listed Item(s) and conduct online auctions through www.HiBid.com. When you access and use our Services on AuctionTime to sell livestock, poultry, or any other type of animals, you also agree to the following (each of which shall be incorporated into these Seller Terms): Listed Item(s) and Auctions. You also acknowledge and agree to the following: You agree to fully, completely, and accurately disclose all information relating to your Listed Item(s), including but not limited to title, weight, size, color, type, number, quality, storage, care, feeding, verification, certification, branding, condition, sex, soundness, safety, health, nutrition or nutritional value, behavior, personality, mental health, mental condition or soundness, physical appearance, ability, age, pedigree, authenticity of pedigrees, bloodlines, breed registration or qualification for breed registration, physical performance and ability, behavioral performance and willingness to perform, genetic performance, training, breeding ability and status, showing ability, racing ability, jumping ability, reining and cutting ability, dressage ability, ranching and herding ability, and fertility, and you shall be responsible for any inaccuracies, errors, or omissions. Additional Representations and Warranties. You also represent and warrant that any Listed Item(s) placed by you: are in good mental and physical health and nutrition, and are free of all injury and illness, except as disclosed by you within the applicable listing; are mentally, physically, and behaviorally sound, except as disclosed by you within the applicable listing; and has the willingness and ability to perform, except as disclosed by you within the applicable listing. All transactions and the terms of any agreements that may occur between Sellers and Bidders or users of our Site or Services are determined solely through Seller and Bidder, user to user interaction and agreement. We do not produce, handle, hold, ship, feed, process, distribute, transport, deliver, or take possession of any Listed Item(s) at any time. We do not guarantee that Sellers have or maintain proper bonds or any bonds which Sellers may be required to maintain pursuant to applicable laws, rules, and regulations including but not limited to bonds required by the Packers and Stockyards Act, 1921, as amended and supplemented (7 U.S.C. 181 et seq.) or any other laws requiring bonds for the sale of livestock or purchasing of livestock. We also do not guarantee that Sellers have or maintain proper auctioneers' licenses or any other licenses or registrations required by applicable laws , rules or regulation, or that Sellers comply with applicable laws, rules, or regulations. You should take appropriate steps to verify the accuracy of the Listed Item descriptions. You should also take appropriate steps to inspect or validate the condition of Listed Item(s) prior to bidding on and receiving Listed Item(s). We are not responsible for any errors or omissions in the content of any Listed Item(s). We reserve the right, in our sole discretion, to (i) withdraw any Listed Item(s) from our Services; (ii) amend the information in a Listed Item; or (iii) cancel any proposed bid for Listed Item(s) that we deem to be suspicious or fraudulent and report such bid to applicable authorities. Additional Terms Posted by Seller. A Seller may post additional terms and conditions for their Listed Item(s) (the "User Posted Terms"). User Posted Terms are between you and the Seller and are separate from these Terms. You are solely responsible for reading and understanding any User Posted Terms prior to placing a bid on such Listed Item(s). We do not create, review, negotiate, or enforce User Posted Terms. If you do not agree to the applicable User Posted Terms, you should not place a bid on the Listed Item(s). Additional Fees by Seller. In addition to the price of Listed Item(s), Sellers may charge a buyer's premium (which is an additional fee that a winning bidder is required to pay above the auction price) as well as shipping, handling, and other fees. These fees are set by the Seller and may be subject to change depending on the Seller and the Listed Item(s). Additional Seller Registration. A Seller may require a Bidder to separately register with it prior to bidding on the Seller's Listed Item(s), and may permit or deny the additional registration at its sole discretion. Transportation and Risk of Loss. We are not responsible for the care, loading, transportation, delivery or risk of loss for any Listed Item(s). We are not responsible for the risk of loss of Listed item(s) due to injury or death of the Listed Item(s) at any time. Except as otherwise set forth in any User Posted Terms, the Bidder with the winning bid will be responsible for compliance with all laws and regulatory requirements applicable to the transportation of the Listed Item(s). Except as otherwise set forth in any User Posted Terms, the Bidder with the winning bid will be responsible for all freight, shipping, and other costs related to transporting the Listed Item(s). These costs may include feeding, watering, dismantling, special handling, loading, transportation costs, and permits required to move the Listed Item(s) to the Bidder's desired location. You should confirm transportation, delivery and risk of loss information with the Seller and your designated transportation provider. Additionally, except as otherwise fully set forth in User Posted Terms, the Bidder with the winning bid will be responsible for obtaining and providing all health certificates, health documentation, and testing required for the shipment and transportation of the Listed Item(s). Furthermore, except as otherwise fully set forth in User Posted Terms, the Bidder with the winning bid shall be responsible for complying with all health entry requirements for the Listed Item(s) for the state of entry. In no event shall we have any responsibility for the transportation of Listed Item(s) or for any risk of loss or liability related to Listed Item(s). Bidding. You understand, acknowledge and agree that: When you submit a bid using our Services, your bid will be forwarded to the Seller and may be viewed by the Seller as a firm commitment and an irrevocable offer to purchase. Once you place a bid on our Site, it may not be retracted. If you have the winning bid, a Seller may hold you legally obligated to complete the transaction unless otherwise prohibited by law or regulation. By using our Services to bid on Listed Item(s), you grant us permission to share your information with Sellers, including, without limitation, your contact information (e.g., name, address, telephone, number, email address, etc.) and other information that you provide to us. You may place a max bid on Listed Item(s). When you place a max bid, our bidding technology will automatically place bids on your behalf, using the smallest increment necessary to ensure you remain the high bidder until your max bid is met. If another bidder has placed the same bid before you, or a max bid that is higher than yours, we will attempt to let you know that you have been outbid. In that situation, you may attempt to place another bid within the specific auction time. Auctions may have time extensions. If a Seller elects to use a time extension for Listed Item(s), the bidding period on the Listed Item(s) may be extended when a higher bid than the then-current top bid is placed prior to expiration of that auction. The bidding period will continue as long as such higher bids are being placed within the time extension designated by the Seller. Sandhills reserves the right to withdraw, postpone, or cancel any Listed Item(s), in our sole discretion, with or without notice. We shall have no liability to you as a result of any withdrawal, postponement, or cancellation. Sandhills reserves the right to void a bid that you place, whether winning or not, which we believe (i) has not been made in good faith and in accordance with these Terms; or (ii) is intended to manipulate our Services. The Seller is conducting the auction and makes the sole and final determination with respect to the sale of Listed Item(s). WE DO NOT GUARANTEE THAT BIDS PLACED WILL BE RECEIVED AND PROCESSED IN A TIMELY MANNER. Prohibited Bidder Conduct. Any deliberate attempt to artificially influence the sale price of any Listed Item(s), directly or indirectly, including but not limited to bidding through a secondary account, agent, or representative, bidding on Listed Item(s) that you may also be selling, communicating with other Bidders, or shill bidding is expressly prohibited. Additional Bidder Indemnity. In addition to the indemnification provisions set forth in the Terms of Use For AuctionTime, EquipmentFacts and HiBid, you agree to indemnify, defend, and hold harmless the Indemnified Parties from and against any and all damages, costs, claims or liability (including reasonable attorneys' fees) arising out of or resulting from any injuries to persons or property of any type, occurring during your or your agent's inspection of property, or your or your agent's presence at a Seller's site, or resulting from the sale, removal, use or operations of any Listed Item(s). Conflicts. In the event of a conflict between the provisions set forth in these Bidder Terms and the Terms of Use For AuctionTime, EquipmentFacts and HiBid, the Terms of Use For AuctionTime, EquipmentFacts and HiBid shall prevail.
