Once you complete and submit your registration you have opted-in to receive email communications from us and in order to remain a member of this Site, you must agree to receive email from us. To the extent you create an account through this Site, you understand and agree that any account you create, including your username and password, are personal to you and may not be used by anyone else. You are responsible for maintaining the confidentiality of your username and password and are fully responsible for all activities that occur under your username and password by you or by anyone else using your username and password, whether or not authorized by you. You agree to change your password immediately if you believe your password may have been compromised or used without authorization. You also agree to immediately inform us of any apparent breaches of security such as loss, theft, or unauthorized disclosure or use of your username or password by contacting us using the information in our contact section. Until we are so notified you will remain liable for any unauthorized use of your account. 2. MEMBERSHIP ELIGIBILITY The Site is available to members who are 18 years and older and who have not been suspended or removed by FREEDOM AUCTION LANE LLC for any reason. By becoming a member you represent that you are of legal age. As a member, you agree to provide true accurate, current and complete information about yourself as prompted by the Site's registration forms. In addition, as a member, you agree and acknowledge that you will maintain valid credit card info within your membership profile so long as you maintain an account with FREEDOM AUCTION LANE LLC. 3. BUYER'S CONTRACT Bids placed on the FREEDOM AUCTION LANE LLC website are a binding contract and you are responsible for paying all amounts due to FREEDOM AUCTION LANE LLC. Please do not bid if you are unable to pay and take possession of the items in the specified time periods for each auction, sale, or event. 4. ITEM DESCRIPTIONS All items are sold as-is, where-is. While FREEDOM AUCTION LANE LLC will do its best to list any damage, repairs or restorations, the absence of these descriptions or conditions must not be taken to imply that the lot is in perfect condition. Most of the items FREEDOM AUCTION LANE LLC sells are antique, vintage or used. You should expect signs of wear consistent with age. FREEDOM AUCTION LANE LLC offers preview inspections for the sole purpose of allowing the opportunity for personal inspection before placing your bids. Condition reports may be available. 5. BUYER'S PREMIUM A buyer's premium of 20% will be added to the hammer price in all auctions. Winning buyers with questions about payment should contact FREEDOM AUCTION LANE LLC (contact). 6. SALES TAX All sales are subject to appropriate sales tax laws. Tax exempt buyers must provide the appropriate state sales tax exemption certificate prior to the end of the sale. Upon receipt of such information by FREEDOM AUCTION LANE LLC, your future purhases will not be taxed. Your profile name and address must be the same as your resale certificate. 7. RETENTION OF CREDIT CARD INFORMATION By providing your credit card information to FREEDOM AUCTION LANE LLC, you authorize FREEDOM AUCTION LANE LLC to charge your credit card for the purchase amount of any successful bid or purchase plus any taxes, shipping/delivery costs and handling/storage fees. IN THE EVENT THAT YOU FAIL TO PICK-UP AND PAY FOR YOUR ITEMS IN ACCORDANCE WITH THE FREEDOM AUCTION LANE LLC TERMS AND CONDITIONS, YOU HEREBY AUTHORIZE FREEDOM AUCTION LANE LLC TO CHARGE YOUR CREDIT CARD FOR THE PURCHASE AMOUNT OF THE ITEMS/S PLUS ANY TAX, SHIPPING/DELIVERY COSTS AND HANDLING/STORAGE FEES. 8. SHIPPING, DELIVERY & PICK-UP Successful buyers must pick up their items at the designated sale location within the assigned time frame as stated in the sale details page. FREEDOM AUCTION LANE LLC does not provide shipping nor packing services. Shipping services must be arranged by winning bidder at winning bidder's expense. If after winning an item you determine you are unable to pick up your item/s during the scheduled removal times and dates, you must contact FREEDOM AUCTION LANE LLC within 24 hours PRIOR of the PICK-UP DATE and we will determine if alternate arrangements can be made. These arrangements will be at the sole discretion of FREEDOM AUCTION LANE LLC and will be subject to transport and storage fees. FREEDOM AUCTION LANE LLC WILL CHARGE YOUR CREDIT CARD ON FILE FOR THE PURCHASE AMOUNT AND TAXES APPLIED PLUS THE HANDLING FEES SET FORTH BELOW. Items which must be transported back to the FREEDOM AUCTION LANE LLC warehouse from a remote location are subject to a minimum handling fee of $15 per item or lot. You agree that FREEDOM AUCTION LANE LLC may charge a higher handling fee for certain items which are difficult to transport at the sole discretion of FREEDOM AUCTION LANE LLC. Items which are stored at the FREEDOM AUCTION LANE LLC warehouse beyond the scheduled pickup dates and times will be subject to a storage fee of $15 per item per day. 9. FORFEITURE OF ITEMS Any items not paid for in accordance with the Site's Terms & Conditions will be forfeited by you. FREEDOM AUCTION LANE LLC at its sole discretion will reoffer the items or donate them to a charity of FREEDOM AUCTION LANE LLC'S choosing. FREEDOM AUCTION LANE LLC reserves the right to report your account to collections for the combined total of the original invoice amount and any moving or disposal charges. Your memership with FREEDOM AUCTION LANE LLC will be revoked unless past due invoices and any additional charges are paid in full. IF YOU FAIL TO PICK-UP ANY ITEMS WITHIN 10 CALENDAR DAYS OF THE CLOSE OF BIDDING, YOU WILL BE CONSIDERED TO HAVE FORFEITED THE ITEMS AND TITLE WILL REVERT TO FREEDOM AUCTION LANE LLC. FREEDOM AUCTION LANE LLC MAY AT ITS ABSOLUTE AND SOLE DISCRETION, RESELL THE ITEMS OR DONATE THEM TO A CHARITY OF FREEDOM AUCTION LANE LLC'S CHOOSING. FREEDOM AUCTION LANE LLC RESERVES THE RIGHT TO CHARGE THE CREDIT CAR ON FILE FOR ANY MOVING OR DISPOSAL CHARGES. 10. INDEMNITY You agree to indemnify and hold FREEDOM AUCTION LANE LLC, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of this Site in violation of these Terms of Use and/or arising from a breach of these Terms of Use and/or any breach of your representations and warranties set forth above and/or if any material that you post using this Site causes us to be liable to another. We reserve the right to defend any such claim, and you agree to provide us with such reasonable cooperation and information as we may request. 11. INJURY TO INDIVIDUAL(S) AND/OR PROPERTY Any individual(s) visiting FREEDOM AUCTION LANE LLC (170 Fort Path Road, Madison, CT) or any location(s) off-site for pickup of winning bid items shall hold FREEDOM AUCTION LANE LLC and/or Client(s) of FREEDOM AUCTION LANE LLC harmless from injury resulting in loading your personal or rented vehicle(s) participant's sole risk. FREEDOM AUCTION LANE LLC shall not be liable for any injuries, loss, or damage to the participant or participant's personal property resulting from the use of the FREEDOM AUCTION LANE LLC location(s), regardless of whether it occurs as a result of FREEDOM AUCTION LANE LLC negligence. If the participant chooses to use the FREEDOM AUCTION LANE LLC location for pickup, the participant hereby expressly waives any claim of liability - for personal/bodily injury or damages - which occurs to the participant or for any loss of or injury to person or property. This waiver is inteded to be a complete release of any responsibility for personal injuries and/or property loss/damage sustained by any participant while on FREEDOM AUCTION LANE LLC premises or at off-site location(s), whether lifting items or visiting said premises. If said participant damages property at FREEDOM AUCTION LANE LLC or off-site locations, participant will be held liable for damages incurred not limited to walls, floors, doorways, building structure, driveway, landscaping and other participants. 12. PROHIBITED USE You agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit publicly display, publicly perform, publish, adapt, edit or create derivative works from content or materials on the site. Use of the content and materials for any purposes not expressly permitted in these Terms of Use is prohibited. You may not decompile, reverse engineer, disassemble, or otherwise reduce the Site to a human-perceivable form, except and only to the extent that such activity is expressly permitted by applicable law, and in that case, only if you notify us in writing in advance. You may not copy, frameset, enclose or otherwise distribute any part of the Site. 13. MODIFICATION AND DISCONTINUATION We, FREEDOM AUCTION LANE LLC reserve the right at any time and from time-to-time to modify, edit, delete, suspend or discontinue, temporarily or permanently this Site (or any portion thereof) and/or the information, materials, products and/or services available through this Site (or any part thereof) with or without notice. You agree that we shall not be liable to you or to any third party for any such modification, editing, deletion, suspension or discontinuance of this Site.
