VEHICLE AUCTION TERMS & CONDITIONS Mission Critical Corporate and Estate Downsizing Purcellville, Virginia By registering to bid, placing a bid, or purchasing any vehicle offered at this auction, each bidder (“Bidder” or “Buyer”) expressly agrees to be bound by the following Terms and Conditions. 1. AS-IS, WHERE-IS SALE – NO WARRANTIES ALL VEHICLES ARE OFFERED FOR SALE “AS-IS, WHERE-IS, WITH ALL FAULTS.” No guarantees, representations, or warranties of any kind are made, expressed or implied, including but not limited to: Merchantability Fitness for a particular purpose Roadworthiness Mechanical condition Mileage accuracy Authenticity Completeness Emissions compliance Safety compliance The auctioneer, seller, and seller’s agents expressly disclaim any and all warranties, whether oral or written. 2. NON-RUNNING VEHICLES / MECHANICAL CONDITION All vehicles offered in this auction are NON-RUNNING. Vehicles may have unknown mechanical, electrical, structural, or cosmetic defects, including defects that may not be visible or disclosed. No vehicle has been inspected, serviced, or tested prior to sale unless explicitly stated in writing. 3. BUYER RESPONSIBILITY & INSPECTION It is the sole responsibility of the Buyer to: Inspect the vehicle prior to bidding Determine condition, authenticity, originality, and restoration needs Verify VIN, title status, and documentation Assess costs of repair, restoration, transport, storage, and registration Failure to inspect shall not be grounds for rescission, refund, or price adjustment. 4. NO TEST DRIVES No test drives are permitted under any circumstances. 5. FINAL SALE – NO RETURNS / NO REFUNDS ALL SALES ARE FINAL. NO RETURNS, NO EXCHANGES, NO REFUNDS, NO CHARGEBACKS. Once the auctioneer declares the item sold, ownership and risk of loss transfer immediately to the Buyer. 6. TITLE & DOCUMENTATION Vehicles are sold with the titles described in the auction listing. Seller makes no representation regarding: Transferability delays DMV processing times Buyer’s ability to register or insure the vehicle Buyer is solely responsible for compliance with all local, state, and federal laws. 7. PAYMENT TERMS Full payment is due immediately upon winning bid unless otherwise stated in writing. Accepted forms of payment will be announced prior to the auction. Failure to pay constitutes default. 8. DEFAULT & REMEDIES If Buyer fails to pay or comply with these Terms: Buyer forfeits any deposits Auctioneer may resell the vehicle Buyer remains liable for any deficiency, fees, storage costs, and legal expenses Auctioneer reserves all rights and remedies allowed by law 9. VEHICLE REMOVAL & TRANSPORT Buyer must arrange professional towing or trailering Vehicles must be removed within the time frame specified by the auctioneer Buyer assumes all risk of loss, damage, or injury upon sale Storage fees may apply if removal deadlines are missed 10. NO LIABILITY The auctioneer, seller, property owner, and their agents are not liable for: Personal injury Property damage Theft or loss Mechanical failure Environmental hazards Entry onto the property is at bidder’s own risk. 11. BIDDER RESPONSIBILITY & AUTHORITY By bidding, Bidder represents and warrants that: They are legally authorized to bid They have the financial ability to complete the purchase They understand and accept these Terms in full Bids placed online, in person, or by agent are binding. 12. AUCTIONEER DISCRETION The auctioneer reserves the right to: Refuse any bid or bidder Resolve bidding disputes Withdraw any item Reopen or reoffer any lot Correct listing errors at any time The auctioneer’s decision is final. 13. GOVERNING LAW & VENUE This auction and all disputes shall be governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Venue for any legal action shall be in a court of competent jurisdiction located in Loudoun County, Virginia. 14. SEVERABILITY If any provision of these Terms is held invalid or unenforceable, all remaining provisions shall remain in full force and effect. 15. BUYERS PREMIUM: 12% 16. ENTIRE AGREEMENT These Terms and Conditions constitute the entire agreement between Buyer and Seller. No oral statements or prior agreements shall have any force or effect.
