Auctioneer's Discretion: Charles Woodard and Associates, LLC has complete discretion to modify the date, time, and any details of the auction for any reason or no reason at all, including but not limited to technical issues, convenience, and any emergencies of Charles Woodard and Associates, LLC or the Seller. 3. Buyer's Premium: For online bidding, there will be a five percent (5%) buyer's premium added to the highest bid to establish the total sales contract price. The successful high bidder on this property will be required to sign an Agreement for Sale of Real Estate, Terms & Conditions, and any other documents needed immediately upon conclusion of the bidding. Payment may be made by cashier's check, wire transfer or cash. The balance is to be paid in full at closing within 30 days after court approval. Any taxes will be prorated at the date of closing. Seller will provide the deed. Seller is to provide title search and policy. Customary closing costs will be paid by the Buyer. Buyer is responsible for obtaining their own financing but the auction is not contingent upon the Buyer's financing. The Agreement for Sale of Real Estate will not be contingent upon any financing, inspections or any other contingencies. 4. Agreement for Sale of Real Estate: All properties are sold "AS-IS, WHERE-IS and WITH ALL FAULTS," without any warranties expressed, implied or guarantees of any kind. The remaining balance of the purchase price is due at closing. The Buyer is responsible for all associated wire transfer fees. - ON-SITE BUYERS: On-site Buyers must submit a non-refundable deposit equal to ten percent (10%) of the final bid amount immediately following the conclusion of the auction. The remaining balance will be due at closing, in accordance with the terms outlined in the Agreement for Sale of Real Estate. This auction is not subject to or contingent upon the Buyer's ability to obtain financing, appraisal, survey, or any inspections. 8. Closing: As specified in the Agreement for Sale of Real Estate, the Buyer is responsible for closing in 30 days after Court approval. Dickson Title will be the closing agent for this auction. If the Buyer's bank requires another attorney to do their legal work, or that a title insurance policy be furnished through another source, the expense will be the Buyer's responsibility. 9. Closing Costs: Seller shall pay Seller's side closing fee, title policy, and document preparation fee. Buyer shall pay Buyer's side closing fee and document preparation fee. Seller shall pay no closing costs for Buyer. 10. Property Condition: Any items remaining on the property at closing shall be the Buyer's responsibility. 11. Hold Harmless: Buyer and or Bidder agrees to hold harmless and indemnify Charles Woodard and Associates, LLC and/or its Agents, Owners, Employees and any of its Representatives from any and all claims, damages or suits including but not limited to attorney's fees, judgments, costs, other fees, etc. 12. Mutual Understanding: Bidder understands and agrees that this Agreement and all rights of the parties there-under, shall be governed by the laws of the County of Dickson, State of Tennessee and any action brought by either party shall be brought in the Courts of the State of Tennessee. In the event, that for any reason, the forum is deemed to be sufficiently inconvenient or the agreement on the forum selection is unenforceable it is still the intention of the parties that the laws of the State of Tennessee govern the parties agreement and their rights attended thereto. Buyer agrees that any legal filed action will take place within the county of Dickson, City of Dickson, State of Tennessee. Auction Cancellation: Charles Woodard and Associates, LLC reserves the right to reject any and all bids for any reason. In an online only auction, bids that are placed within the last minute will cause bidding to automatically extend to prevent bid sniping.
