# Terms and Conditions for Bidding on Items, Lots, and Pallets at Palmetto Pallets
These Terms and Conditions ("Terms") govern your participation in auctions and bidding on items, lots, and pallets ("Goods") offered by Palmetto Pallets ("we," "us," or "our"). By registering to bid or placing a bid, you agree to be bound by these Terms. If you do not agree, do not participate in our auctions.
## 1. Introduction
Palmetto Pallets specializes in the sale of customer returns, overstock, liquidation merchandise, and other goods sold in individual items, lots, or pallets. All sales are conducted via online auctions on our website (www.palmettopallets.com) or affiliated platforms. Auctions may include but are not limited to electronics, appliances, power tools, gaming systems, home goods, and general merchandise. We reserve the right to modify these Terms at any time, with changes effective upon posting on our website.
## 2. Registration and Eligibility
- To bid, you must register an account on our website or auction platform, providing accurate and complete information (e.g., name, address, email, phone number, and payment details).
- You must be at least 18 years old and legally capable of entering into contracts.
- Registration is free, but we may require verification of identity or business credentials for certain bidders (e.g., resellers).
- You are responsible for maintaining the confidentiality of your account and password. We are not liable for unauthorized use.
- We reserve the right to refuse or revoke registration at our discretion, including for past non-payment or violations of these Terms.
## 3. Bidding Process
- All auctions are online and may be timed (with a closing date/time) or live.
- Bids are binding and irrevocable. Once placed, a bid cannot be withdrawn without our express written consent.
- Starting bids, increments, and reserve prices (if any) are set by us and displayed on the auction listing.
- Proxy bidding may be available, where the system automatically bids on your behalf up to your maximum amount.
- Auctions may extend if bids are placed near the closing time (e.g., "soft close" extension of 2-5 minutes).
- We may cancel or withdraw any lot at any time before the auction closes, without liability.
- Shill bidding, collusion, or any manipulative practices are strictly prohibited and may result in account suspension, legal action, and forfeiture of bids.
## 4. Winning Bids and Payment
- The highest bidder at auction close wins, subject to any reserve price or our approval.
- Winners will be notified via email within 24 hours of auction close.
- Full payment is due within 48 hours of notification, unless otherwise specified.
- Accepted payment methods: Credit/debit cards, wire transfer, or PayPal (subject to fees).
- A buyer's premium of 15% (or as specified in the auction listing) will be added to the winning bid amount.
- Applicable sales taxes will be charged based on the pickup or shipping location.
- Failure to pay on time may result in forfeiture of the Goods, retention of any deposits, and a ban from future auctions. We may also charge a restocking fee of up to 25% of the bid amount.
## 5. Pickup and Shipping
- Goods must be picked up from our warehouse (located in South Carolina, unless otherwise noted) within 2 business days of payment, during business hours (Monday-Friday, 9 AM-4 PM).
- Pickup is the buyer's responsibility. We do not provide loading assistance unless arranged in advance (fees may apply).
- Shipping is available at the buyer's expense. We may arrange shipping through third-party carriers, but we are not liable for delays, damage, or loss during transit.
- Title and risk of loss pass to the buyer upon payment (for shipped items) or upon pickup.
- Failure to pick up on time may result in storage fees ($10 per day per pallet) or forfeiture of the Goods with no refund.
## 6. Condition of Goods
- All Goods are sold "AS IS, WHERE IS," with all faults, defects, and imperfections.
- Descriptions, photos, and manifests are for informational purposes only and are not guaranteed for accuracy. Quantities, conditions, and contents may vary.
- Goods may include customer returns, shelf pulls, overstock, or salvage items, which could be damaged, incomplete, or non-functional.
- Inspection: Bidders are encouraged to inspect Goods in person before bidding (by appointment). No post-sale inspections or returns for condition issues.
## 7. Warranties and Disclaimers
- We make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
- We disclaim liability for any errors in listings, counterfeit items, or hazardous materials.
- Buyers assume all risks associated with the Goods, including compliance with laws on resale, import/export, or hazardous waste.
## 8. Returns and Refunds
- All sales are final. No returns, refunds, exchanges, or cancellations except in cases of our gross negligence (e.g., wrong item shipped).
- Any disputes must be reported in writing within 24 hours of pickup or delivery, with photos and details.
## 9. Liability and Indemnification
- Our liability is limited to the purchase price paid. We are not liable for indirect, consequential, or punitive damages.
- You agree to indemnify and hold us harmless from any claims arising from your use, resale, or handling of the Goods.
## 10. Disputes and Governing Law
- Any disputes arising from these Terms or auctions will be resolved through binding arbitration in South Carolina, under the rules of the American Arbitration Association.
- These Terms are governed by the laws of the State of South Carolina, without regard to conflict of laws principles.
- If any provision is unenforceable, the remainder remains in effect.

- Force Majeure: We are not liable for delays due to events beyond our control (e.g., weather, strikes).
