TERMS AND CONDITIONS OF SALE The Nerd Fortress, LLC, operating on the HiBid Platform These Terms and Conditions of Sale ("Terms") govern your use of the The Nerd Fortress, LLC auction platform on HiBid and all transactions conducted through it. By registering, bidding, or participating in any auction, you agree to be bound by these Terms and the HiBid User Agreement. 1. GENERAL INFORMATION AND DEFINITIONS The Nerd Fortress, LLC ("Auctioneer," "we," "us," "our") is a company that auctions collectibles. We are using the HiBid platform to conduct our online auctions. A bidder or buyer ("you," "your") is any individual or entity that registers, bids, or purchases items through our auctions. A lot refers to any item or group of items offered for sale. The winning bidder is the person with the highest bid that meets the reserve price (if applicable) when the auction closes. 2. REGISTRATION AND ELIGIBILITY To bid in our auctions, you must register and be approved by HiBid and us. By registering, you confirm that you are at least 18 years of age and can form a legally binding contract. You are responsible for keeping your registration information accurate and secure. We reserve the right to refuse, suspend, or terminate your registration at our sole discretion. 3. BIDDING AND LOT DESCRIPTIONS 3.1 LEGALLY BINDING CONTRACT Every bid you place is a legally binding and irrevocable offer to purchase the lot at the price you bid. You cannot retract or cancel a bid once it has been placed. 3.2 "AS IS, WHERE IS" All lots are sold "as is, where is" with all faults. The Nerd Fortress, LLC makes no warranties, express or implied, including but not limited to the merchantability, fitness for a particular purpose, or condition of the lots. We do not guarantee the authenticity, age, or origin of any item. 3.3 LOT DESCRIPTIONS We strive to provide accurate descriptions and photographs of the lots. However, these are for informational purposes only. It is your responsibility to examine all photos, read all descriptions, and ask any questions before bidding. We are not responsible for errors or omissions in the descriptions. No statement in any description, invoice, or advertisement is a warranty or representation of any kind. 4. AUCTION CLOSE AND PAYMENT 4.1 WINNING BIDDER The winning bidder is the person with the highest bid that meets the reserve price (if any) when the auction closes. In the event of a tie, the first bid received will be declared the winning bid. 4.2 BUYER"S PREMIUM A buyer's premium of 18% will be added to the final bid price of each lot. This premium is part of the total purchase price. 4.3 SALES TAX A 6.25% Massachusetts state sales tax will be added to the total purchase price, including the buyer's premium. You are responsible for submitting a valid resale certificate if you are a dealer to HiBid. 4.4 PAYMENT Winning bidders' credit cards will be processed within 48 hours of the auction's close. We accept credit card processing through integrated Global Payments. We reserve the right to charge the credit card on file for your purchases and any associated fees. 5. INTELLECTUAL PROPERTY RIGHTS All content on our auction pages and on the The Nerd Fortress, LLC website, including images, text, logos, and designs, are the intellectual property of The Nerd Fortress, LLC or our licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from this content without our express written permission. The use of The Nerd Fortress, LLC's trademarks and logos without our prior consent is strictly prohibited. 6. HiBid PLATFORM SPECIFICS Our online auctions are conducted using the HiBid platform. By participating, you acknowledge that you are subject to both these Terms and the HiBid User Agreement. We are not responsible for any technical issues, system outages, or failures that may occur on the HiBid platform and result in a missed bid. Bidding is at your own risk. 7. SHIPPING AND PICK-UP 7.1 SHIPPING The buyer is responsible for all domestic and international shipping, handling, and insurance costs. We will ship items using USPS. The buyer agrees to pay a handling fee per package in addition to the actual shipping costs. Once an item is transferred to the carrier, the buyer assumes all risk of loss or damage. 7.2 PICK-UP There will be no local pickup offered. 8. DEFAULT AND REMEDIES If a winning bidder fails to pay for a lot within the specified timeframe, the bidder is in default. In the event of a default, we may, at our discretion: • Charge a penalty fee. • Resell the item in a future auction or private sale. • Pursue legal action against the defaulting bidder to recover the full purchase price and any additional damages, including our legal fees. • Suspend or ban the bidder from future auctions. 9. TERMINATION OF ACCOUNT We reserve the right, in our sole discretion and without notice, to terminate or suspend your account and access to our services if you violate these Terms or for any other reason, including but not limited to fraudulent bidding, illegal activity, or non-payment. Upon termination, you are prohibited from registering a new account. 10. DISCLAIMERS AND LIMITATIONS OF LIABILITY 10.1 TECHNICAL ISSUES The Nerd Fortress, LLC is not responsible for any missed bids or other issues that may arise from internet outages, software malfunctions, technical errors on the HiBid platform, or any other technical difficulties. 10.2 LIMITATION OF LIABILITY In no event shall The Nerd Fortress, LLC be liable for any special, incidental, or consequential damages, including but not limited to loss of profits, arising out of or in connection with the sale of any lot. Our liability for any claim shall not exceed the amount paid for the specific lot at issue. 11. GOVERNING LAW AND DISPUTE RESOLUTION These Terms shall be governed by and construed in accordance with the laws of the State of Massachusetts. Any dispute arising from these Terms or any auction will be resolved exclusively in the state or federal courts located in Norfolk County, MA. • Alternative Dispute Resolution: We encourage parties to resolve disputes through good-faith communication. If a dispute cannot be resolved informally, the parties agree to consider mediation as a first step before pursuing litigation. 12. PRIVACY POLICY Your use of our services is also governed by our Privacy Policy, which is available at ****. The policy explains how we collect, use, and protect your personal information.
