PLEASE READ THESE TERMS CAREFULLY, AS THEY ARE A LEGALLY BINDING CONTRACT
BETWEEN ALL BIDDERS AND THE AUCTIONEER, TDM AUCTIONS LLC. BY AGREEING TO THESE
TERMS, THIS CONTRACT IS ENTERED INTO BY YOU WHO IS KNOWN AS THE BIDDER WITH TDM AUCTIONS LLC, THE AUCTIONEER.
All Sales Are Final:
-All items are sold where is as is with no guarantees. Please understand that TDM Auctions LLC does its absolute best to describe each item accurately, correctly, and do so in good faith.
-Buyers are highly encouraged and are responsible for conducting their own inspection on all items. It is the buyer's duty to do so prior to bidding to check and verify condition, value, usability, safety, ect.Failure to do so is as well the bidders responsibility. TDM Auctions LLC will not be held liable or accountable for any imperfections or misworded, written, or verbal information that you may find before and or after you purchase your items.
-All sales are final at the fall of the hammer, or once you win an item. A bid is a legal binding contract between the Bidder and the Auctioneer. If you are the winner of an item, you bought it.
Winning Bidders:
-Our auction is on Friday, 07/24/26. If you win an item, you will be sent an invoice at the end of the auction. All payments are required to be paid in full by the end of the day on the following Tuesday, 07/28/26. We are also open on Saturday & Sunday on auction week after the auction to help accommodate. We prefer wire transfers, but do accept all credit/debit cards, cashiers checks, and cash. Please understand, there will be a 3.5% card fee on all cards used. No items will be left from the premises until payment is made in full.
Shipping:
-Shipping is completely separate from the auction. If you have an item that needs to be shipped, the auctioneer will help accommodate as much as they can as far as sizes and measurements. We will also assist in loading your items, free of charge. It is your shipping carrier's responsibility to make sure their load is secure, safe, and reliable. As well as to drive up/on all trailers and carriers. Any Items needed to be wrapped, containerized, palletized, as requested by the shipper will be the bidders responsibility. We will help you, however additional fees
may be charged to the bidder for any materials needed or added costs.
Storage:
-Items need to be removed on or before 08/03/26. Any time after will result in a daily fee of $75.00 per item. Items will not be moved until the bidders invoice has been paid in full.
Assumption Of Risk, Indemnity Of Site Owners, Terms Of Off Site Items:
-The bidder must contact the auctioneer to schedule appointments for pickup and viewings on all offsite items. Bidders will meet with a TDM Auctions representative and or the site owner to view and inspect items. As well as to pick up bidders won items. Risk of loss or damage to each auction Item shall pass to the bidder immediately after the bidder wins an item. The bidder shall, at its own expense, maintain and carry in full force and effect appropriate insurance coverage on each auction Item purchased immediately after the bidder wins an item. Neither the auctioneer nor the owner of the auction sale site property (“site owner”) will be responsible for any losses or damages thereto from and after the time a winning bid is placed whether resulting from acts of nature, theft, accident and/or vandalism (other than as a result of the gross negligence or willful misconduct of auctioneer or site owner. Bidder must be respectful towards the site owner and adhere to their dates/times of operation for all viewing and or pickup.
-Bidder hereby releases, waives, discharges and covenants not to sue the auctioneer and its parent, subsidiaries and affiliates, site owner, seller and each of their respective directors, officers, employees and other representatives of and from any and all claims, liabilities, losses or damages that bidder may have or has ever had against any person mentioned arising out of or relating to bidders presence at the auction site or bidders removal, loading, securement, transport, possession, use, maintenance, or disposition of each auction Item purchased at an auction, including without limitation, any liability or damage relating to injury to person or property.
Titles Items:
-All titles will be held until the items are paid in full, and non pending. If the bidder comes into the office and pays with cash, or bank wire transfer of the full amount before they come in, the bidder can take the title and paperwork the same day. Cashiers checks and debit/credit cards will result in a title hold until the bidders funds clear with our bank. Once this process is completed, the paperwork will be sent to the bidder, priority mail, with tracking information. If the bidder is from out of town and will not be present, we will ship you your title once payment is made in full and non pending. The title will be sent to the bidders address that is attached to the bidders information prior to bidding. TDM Auctions LLC does not send titles and or paperwork with equipment transporters, all must be mailed to the winning bidder.
General Information:
-The auctioneer shall be the final judge in any bidding disputes, and has final authority to name a bidder as the final purchaser. The auctioneer or auction company shall not be held responsible for any 'missed' or unseen bids. TDM Auctions LLC reserves the right to alter this agreement at any time. Please check back and review auction terms often, as every time you use this site you are agreeing to the terms as they are written at that time. TDM Auctions LLC has the right to refuse service to anyone or to cancel an auction or pull an item for any reason.
Indemnification Of Auctioneer:
-The bidder hereby agrees to indemnify, defend, and hold harmless auctioneer against all suits, actions, costs, or charges, including but no limited to attorney’s fees, whatsoever arising from or relating to any false or incorrect representations or warranties contained herein or for any breach of the bidder’s obligation herein, including but not limited to, inaccuracies in either the description or condition of the property.
Misc:
-These terms and conditions represent the entire agreement between the auctioneer and the bidder. This agreement replaces all prior agreements, whether written, oral, or implied. This agreement is binding upon the parties hereto and their heirs, successors, and assigns. The parties herein acknowledge and agree that this auction agreement and all transactions contemplated by this agreement shall be governed by, construed, and enforced in accordance with the laws of Oregon without regard to principles or conflicts of laws. Any changes must be written and signed by both the bidder and the auctioneer. Both the bidder and auctioneer agree that, should a dispute arise relating to the performance or breach of any part of this agreement, and a settlement cannot be reached between the parties, the matter will be resolved in a Jackson County court jurisdiction. In the event the auctioneer is required to take any action to enforce the terms of this auction agreement. The auctioneer shall be entitled to recover its reasonable attorney’s fees and all its costs and expenses. Reasonable attorneys fees shall include those fees incurred (a) before, during and after the litigation, including those incurred in attempting collection without litigation; (b) in litigation at all trial and appellate levels; (c) in any bankruptcy proceeds: and (d) in any post- judgment proceedings.
