1. Special Bidding Notices Supersede These Terms and Conditions Please be advised that any special bidding notices provided for a specific auction will supersede these Terms and Conditions. In the event of a conflict between a special notice and these general terms, the special notice will take precedence. 2. “AS IS, WHERE IS” and Item Descriptions All items are sold AS IS, WHERE IS, with all faults. All descriptions are believed accurate but are not warranted. Bidder inspection is encouraged. By placing a bid, the bidder signifies that they have examined the items to their satisfaction, or have chosen not to personally examine them. 3. Registration Deposit and Membership Fee To register as a bidder, a $100 membership deposit is required. This deposit must be paid in full before your registration can be approved and you are eligible to participate in any auctions. The $100 deposit is refundable if your account remains in good standing (defined as no unpaid invoices, bans, or violations of auction terms) and upon written request after 180 days from the date of registration. Refund requests must be submitted in writing to [insert email]. Refunds will be processed within 30 days of approval. 4. Registration C.M. Company Auctions can approve or deny bidders at its sole discretion and is not required to provide a reason for denial. Prior to approval, C.M. Company Auctions may contact you to determine your creditworthiness (which may include third-party verification). For successful bidder registration, you must provide a valid photo ID (such as a driver’s license or passport). If your registration is approved, C.M. Company Auctions will process your bid in accordance with these Terms and Conditions. By placing a bid, you are entering into a legally binding and enforceable contract. All contracts are governed by the laws of the State of Texas, and any disputes will be resolved exclusively in the courts of Taylor County, Texas. You are bidding against other internet proxy bidders as well as floor bidders (this list does not constitute a complete list of bidder types). By using the C.M. Company Auctions Proxy Bid Service, you agree to: (a) provide true, accurate, current, and complete information about yourself as prompted by our registration form (“Bidder Information”), and (b) maintain and promptly update your registration data to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, not current, or incomplete, or if C.M. Company Auctions has reasonable grounds to suspect such information, C.M. Company Auctions has the right to suspend or terminate your account and refuse any and all current or future use of the Service. 5. Online, Absentee, and Internet-Only Bidding Bids placed via online bidding services are firm commitments to purchase and may not be canceled or retracted for any reason. C.M. Company Auctions cannot and does not guarantee that bids placed via online bidding services will be transmitted to or received by the auctioneer in a timely fashion. The auctioneer has the sole discretion to accept or reject any bid at any time. Absentee bids will be executed by C.M. Company Auctions on behalf of the bidder in a competitive and confidential manner, up to the maximum specified bid. For internet-only auctions, C.M. Company Auctions reserves the right to cancel and/or reopen the auction in the event of system failures. All bids are exclusive of all applicable taxes and fees. Bids for an item do not apply to subsequent offerings of identical or similar items. If a higher bid is invalidated or a problem arises, an unsuccessful bid may be reinstated and the affected bidder will be notified by email. You may not make a bid under a false name or as agent for a person who would themselves be prohibited from placing a bid on a particular lot. Any violation will result in immediate disqualification and a permanent ban from future auctions. 6. Payment Payment must be made within 24 hours after auction close. Accepted forms of payment include cash, check (subject to clearance), money order (subject to clearance), wire transfer, cashier’s check, and credit card (which includes a 5% processing fee). By registering, you authorize C.M. Company Auctions to charge the card on file if other payment is not provided. You must state your preferred method of payment in registration notes. Failure to pay within 24 hours will result in a ban from participating in future auctions and may result in collections, legal action, or reporting to credit agencies. Please note, taxes will apply. In the case of vehicle auctions, there will be a tax, title, and license fee. All auctions include a buyer’s premium, which will vary from auction to auction and will be added to the final bid amount. If you are tax exempt, you must provide valid proof of exemption upon payment. 7. Item Pick Up and Shipping Items must be picked up within 72 hours of auction close. Pick up will be by appointment only unless otherwise stated. Pick up locations will vary based on the auction. Your invoice must be paid in full before pick up, and a copy of the invoice must be presented at the time of pick up. C.M. Company Auctions does not provide transportation, loading, or shipping services, nor does it warrant shipping in any way. Buyers are responsible for all arrangements and costs related to shipping. All items remaining on the lot after 72 hours will result in a $25 per lot, per day fee, not to exceed 7 days. After 7 days, storage fees stop accruing and the item will be considered abandoned, subject to resale or disposal at C.M. Company Auctions’ discretion. The original buyer may be liable for any costs or shortfalls if the item is resold for less than the original purchase price. 8. Due Diligence and No Professional Advice Bidders are responsible for inspecting items and performing their own due diligence before bidding. Any information supplied by any employee or agent of C.M. Company Auctions or its affiliates, in any form whatsoever, is intended solely as general guidance on the use of the Service and the buying and selling of lots at C.M. Company Auctions. All content is provided for informational purposes only and does not substitute for professional advice (e.g., engineering, scientific, risk management, appraisal, valuation, legal). You are solely responsible for selecting the appropriate equipment for your needs. 9. Links and External Materials The Service may provide links to other websites or resources. You acknowledge and agree that C.M. Company Auctions does not endorse and is not responsible for any content, advertising, products, services, or other materials on or available through such sites or resources (“External Materials”). The External Materials are subject to different terms of use and privacy policies, which you are responsible for reviewing. C.M. Company Auctions shall not be liable for any damage or loss caused by or resulting from use of or reliance on any External Materials, and is not responsible for the privacy practices of external sites. 10. Indemnification You agree to indemnify, defend, and hold harmless C.M. Company Auctions, its affiliates, officers, directors, employees, agents, partners, licensors, successors, and assigns from and against any claim, demand, loss, damage, cost, liability, and expense, including reasonable attorneys’ fees, resulting from or arising out of your: (a) access to or use of the Service; (b) violation of the Terms of Use or any law or regulation; or (c) violation of any rights of another party. This indemnification clause will survive the termination or expiration of this agreement. 11. Disclaimers and Limitation of Liability You acknowledge and agree that the internet is an unreliable, unsecured, and error-prone network and C.M. Company Auctions cannot and does not guarantee continuous, uninterrupted, or secure access to the Service. You agree to hold C.M. Company Auctions harmless for any interruptions in the Service, or your inability to reach or effectively use the Service. The Service, including all content, functions, materials, services, and information made available on or accessed through the Service, is provided on an “as is,” “where is,” “as available” basis, with all faults. To the maximum extent permitted by applicable law, C.M. Company Auctions expressly disclaims all warranties and conditions of any kind, whether express or implied or arising from statute, course of dealing, usage of trade, or otherwise, including, but not limited to, the implied warranties or conditions of merchantability, merchantable quality, quality or fitness for a particular purpose, and non-infringement. C.M. Company Auctions does not warrant and hereby disclaims all warranties and conditions that the Service or the functions, features, content, or other materials contained, made available on, or accessed through the Service, including without limitation any third-party software, products, or other materials will: (a) be timely, secure, uninterrupted, or error free, or that defects will be corrected; or (b) meet your requirements. C.M. Company Auctions further does not warrant and hereby disclaims all warranties and conditions with respect to the results, including the accuracy or reliability of such results, that may be obtained from access to or use of the Service or the functions, features, content, or other materials contained, made available on, or accessed through the Service, including without limitation any third-party software, products, or other materials. C.M. Company Auctions’ total liability for any claim arising out of or relating to these Terms and Conditions or any auction shall not exceed the amount paid by the bidder for the item in question. If you are dissatisfied with the Service, your sole remedy is to discontinue using the Service. No advice or information, whether oral or written, obtained by you from C.M. Company Auctions or through the Service shall create any warranty not expressly made in this agreement. You acknowledge and agree that any information, data, or other materials that you obtain from or through the Service, whether provided by C.M. Company Auctions or others, may contain errors or be inaccurate or incomplete. It is solely your responsibility to confirm the accuracy, completeness, and reliability of any such information, data, or other materials. 12. Licensing and Complaints C.M. Updates to Terms, Entire Agreement, and Severability C.M. Company Auctions reserves the right to update or modify these Terms and Conditions at any time. Any changes will be effective upon posting to the company website. These Terms and Conditions constitute the entire agreement between you and C.M. Company Auctions regarding auction participation. If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
