User Agreement — Terms and Conditions City and Fields, LLC d.b.a. Bidable (Updated April 4, 2026) 1. Introduction Welcome to the Bidable auction platform, operated by City and Fields, LLC d.b.a. Bidable (“Bidable”), accessible at bidablein.com and through the Bidable mobile application (collectively, the “Site”). The following Terms and Conditions apply to all transactions and dealings with City and Fields, LLC d.b.a. Bidable, the Bidable website, and the Bidable mobile application (collectively, “Bidable” or “we” or “us”). By accessing the Site, utilizing the services of Auction-Alpha as a user, by registering as a user regardless of your physical location, or by placing a bid on any item, you agree that: (1) you have read these Terms and Conditions; (2) you understand these Terms and Conditions; and (3) you are bound by these Terms and Conditions in your use of the services and the Site. The services provided on the Site enable Users, among other things, to: We refer to any person who (i) accesses the Site or (ii) registers to use the services as a “User” regardless of whether the person purchases items in an auction. The terms “you” and “your” refer to both an individual User and any business entity if registered by an authorized individual. These Terms and Conditions, together with (i) any additional terms and conditions specific to a particular auction, and (ii) terms and conditions displayed elsewhere on the Site, constitute the entire agreement between Auction-Alpha and you related to your access and use of the Site and the services, including, but not limited to, the bidding and purchase of items in an auction. These Terms and Conditions supersede and replace any prior or contemporaneous written or oral agreements between the parties regarding such subject matter. These Terms and Conditions may only be changed or waived by an authorized representative of City and Fields, LLC d.b.a. Bidable. 2. Use of the Site 2.1. Registration You must register and agree to these Terms and Conditions as a prerequisite to submit bids for items in an auction. To register as a User on the Site you must provide, among other things, your name, e-mail address, phone number, and a valid payment method. Upon your completion of a registration application and acceptance of these Terms and Conditions, your registration application will be reviewed by Auction-Alpha and will be accepted or rejected in Auction-Alpha's sole discretion. You warrant that all registration information provided to Auction-Alpha is true, accurate, and complete and, if registering on behalf of a business, that you are authorized to act on behalf of and bind that business. You will immediately inform Auction-Alpha of any change in your registration information. In registering or in any other communication with Auction-Alpha you may not impersonate or misrepresent an affiliation with any other person or entity. The Site is intended for users 18 years of age and older. By accessing the Site or using the services, Users represent and warrant that they are at least eighteen (18) years old, or any higher minimum age in the jurisdiction where they reside. Parents or guardians are responsible for all activity of minors on the Site, including but not limited to the submission of a bid or the purchase of items. 2.2. User Accounts Users are assigned account credentials upon registration. Users are responsible for all actions taken under their account and shall only use the Site using their own credentials. Users must keep their passwords secure and shall not disclose them to any other person nor permit any other person to utilize their account. Users are required to honor all transactions that occur using their account credentials, whether or not such transactions were expressly authorized by the User. 2.3. Exclusion of Users & Rejection of Bids Without limitation to any other remedies, Auction-Alpha may exclude any User from any auction and block any registration if the User has breached or threatens to breach these Terms and Conditions or engages in any behavior which Auction-Alpha, in its sole discretion, regards as likely to have an adverse effect on the conduct of the auction or the reputation of Auction-Alpha. Furthermore, Auction-Alpha reserves the right, in its sole discretion, to exclude items from offerings, refuse bids, and discontinue auctions or services at any time and for any reason. 2.4. Bidding By placing a bid in an auction, you are extending an irrevocable offer to purchase the item at the price set forth in your bid. The act of placing a bid constitutes your full and unconditional acceptance of these Terms and Conditions, including all policies regarding payment, pickup, refunds, buyer's premium, and any auction-specific terms. Once entered, a bid may not be retracted. All bids are binding and constitute a legally enforceable commitment to purchase the item at the bid amount (plus any applicable fees, premiums, and taxes) if you are the winning bidder. By submitting a bid, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions in their entirety and that no additional notice or signature is required for these Terms and Conditions to apply. 2.5. Proxy Bidding Auction-Alpha offers a proxy (maximum) bidding system. When you set a maximum bid, the system will automatically place the minimum necessary bids on your behalf up to your stated maximum. The proxy bidding system operates according to the bid increment schedule published for each auction. Your maximum bid amount is kept confidential and is not disclosed to other bidders. 2.6. Item Inspection All items will be described and photographed to the best of Auction-Alpha's ability. Users should carefully review all available images, descriptions, and condition codes prior to bidding. Where applicable, items may be available for in-person inspection prior to the auction. Failure to inspect an item, whether in-person or through available online information, is not the fault of Auction-Alpha and shall not be deemed reason for issuing a refund (see Section 2.10). 2.7. Winning Bid The User who entered the winning bid will consummate the purchase of the item within the time specified in these Terms and Conditions and/or the specific auction terms. The winning bid amount — including the hammer price, all buyer's premiums, lot fees, and applicable sales tax — will be charged to the User's payment method on file. Upon receipt of payment, all risk of loss shall pass to the User. Winning bids may not be cancelled at any point following the close of an auction. 2.8. Lot Closing Time & Soft Close Specific lot closing times are published on the Site. Auction-Alpha shall not be responsible for notifying any User of a change in any closing date or time. Auction-Alpha will not accept a bid that is received after the closing date and time, including all soft-close extensions. Auction-Alpha utilizes a staggered/soft-close system: if a bid is placed within a designated period before the scheduled lot closing time, the closing time will automatically be extended in increments specified by Auction-Alpha, until no bids have been entered in the pre-stated increment prior to the closing time. Each User is solely responsible for monitoring changes to closing times. The User bears the sole risk of transmitting bids so that such bids are received on the Site prior to close of the auction lot. 2.9. Item Removal & Pickup Unless otherwise stated, items must be picked up at the designated location within the timeframe specified in the auction details. All removal shall be at the expense, liability, and risk of the User. Items not picked up by the posted removal deadline are subject to the following policy: Some items may be eligible for shipping. Shipping availability, costs, and estimated delivery times will be indicated in the item listing. Auction-Alpha is not responsible for delays caused by shipping carriers. Risk of loss and title for shipped items transfers to the buyer upon delivery to the shipping carrier. 2.10. Refunds & Condition Codes Items may be listed with a condition code such as “New,” “Like New,” “Open Box,” “Damaged,” “Partial,” or “As-Is.” The condition code determines what type of refund, if any, may be considered. 2.10.1 New / Like New — Items that appear to be in new condition or have never been previously used. These items are not tested for full functionality or completeness. The User must examine the item thoroughly at the time of pickup. If an issue is identified, the User must report it to Auction-Alpha before leaving the premises to be eligible for a refund. Once the User has left the premises with the item, Auction-Alpha may decline to issue a refund. Depending on the circumstances, and in its sole discretion, Auction-Alpha may offer a refund or credit for defects discovered after leaving the premises. Buyer's remorse is not a valid reason for a refund. 2.10.2 Open Box — Items previously sold by a retailer and potentially used before being returned. Open Box items may be damaged or have missing pieces. Open Box items have not been tested for full functionality. All Open Box items are sold AS-IS. Depending on circumstances, and in its sole discretion, Auction-Alpha may offer a refund or credit for items that were materially inaccurately described. 2.10.3 Damaged / Partial — Items marked as Damaged or Partial indicate that Auction-Alpha believes the item may be incomplete, non-functional, or missing components. These items have not been tested for functionality. All Damaged and Partial items are sold AS-IS. Auction-Alpha does not issue refunds on these items. 2.10.4 As-Is / Last Chance — Clearance and closeout items offered at deeply discounted prices. All such items are sold AS-IS with no representations, warranties, or guarantees of any kind. Auction-Alpha does not issue refunds on these items. Buyer's Premium Auction-Alpha may, in its discretion, charge a buyer's premium, lot fee, or other service charge on items sold. All such charges, including the applicable buyer's premium percentage, will be disclosed prior to bidding and in the specific auction terms and conditions. The buyer's premium shall be collected from each winning User in addition to any lot fees, applicable sales tax, and the winning bid price. 2.12. Late Payment User acknowledges that time is of the essence with respect to timely payment of all funds required under these Terms. In the event that payment is not fully received by the deadline specified for the auction, the User may be charged a late payment penalty of up to one hundred dollars ($100.00). Repeated late payments may result in account suspension or termination. 2.13. Account Suspension & Reinstatement If a User's account is suspended for any reason, the User may be assessed a reinstatement fee of up to one hundred dollars ($100.00) prior to reactivation. At Auction-Alpha's sole discretion, a User account may be permanently suspended for repeat violations of these Terms and Conditions. 3. Sales Taxes Any price indicated on the Site or agreed to in an auction is stated exclusive of any value-added, sales, or use tax. Such taxes will be added to the sale price and collected from the User by Auction-Alpha in accordance with applicable state and local tax laws. If the User is eligible for a tax exemption, the User must provide proper documentation to Auction-Alpha. Until such documentation is received and approved, applicable taxes will be charged and payable by User. 4. Data Protection & Privacy Auction-Alpha may transmit information in connection with registration, bidding, and auction execution to facilitate the services. All data produced or transmitted in connection with auctions may be stored, used, and transmitted as described in our Privacy Policy. Users undertake that information concerning other Users obtained through the Site shall not be used for sending unsolicited commercial messages or for any purpose other than participation in auctions or use of the Site. Users agree that they will only use such information in accordance with applicable laws and regulations, including data protection and privacy laws. Our Privacy Policy details how we handle the information you provide whether as part of your registration or in the use of the Site or services. 5. Use of User-Provided Information To enable the Site to use information provided by Users, each User grants Auction-Alpha, upon registration, a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable license to exercise all rights the User has (including copyright and trademark) in any information provided, in order to provide the services, in any media form whether now known or not currently known. 6. Advertising & Affiliate Partnerships 6.1. Affiliate Program Participation Auction-Alpha may participate in retailer associate and affiliate programs. When you click a link to a third-party retailer site from our platform, the retailer may place cookies or use similar technologies to recognize that you arrived via our Site and to attribute qualifying purchases. As an affiliate, Auction-Alpha may earn commissions from qualifying purchases. 6.2. Information Collected Third-party affiliate tracking may involve technical identifiers (e.g., cookie IDs), device and browser information, referrer URLs, and purchase events necessary for commission attribution. Auction-Alpha does not receive your full order contents, payment information, or personal information from the retailer. We may, however, receive aggregated reports such as number of clicks, items ordered, and commissions earned. 6.3. Your Choices & Opt-Outs 6.4. Third-Party Responsibility Links to third-party retailers are operated by those retailers. Your interactions on a retailer's site are governed by that retailer's own terms and privacy notice. Auction-Alpha does not control, and is not responsible for, any third-party retailer's data practices. 7. Access to the Site & Services Auction-Alpha grants a limited, non-transferable, revocable right to each User to access and make use of the Site for the purposes of using the services in accordance with these Terms and Conditions. Users are responsible for procuring and maintaining their own network connections and telecommunications to access the Site. Users shall not use the Site for fraudulent purposes or in connection with any unlawful activity. Users are expressly forbidden from any form of bid manipulation, including collusion, shill bidding, bid shielding, or bidding on lots that they themselves (or an affiliated party) are selling. Users may not bid under a false name or as agent for a person or entity that would itself be prohibited from placing a bid. Auction-Alpha may, in its sole discretion, terminate a User's right to access and use the Site at any time for any reason. Reasons for termination include, but are not limited to, User fraud, chargebacks, and inappropriate behavior at or near any Auction-Alpha facility or during communication with Auction-Alpha representatives. Auction-Alpha does not guarantee continuous, uninterrupted, or secure access to the Site. The Site and services are provided “AS IS” and “AS AND WHEN AVAILABLE.” Auction-Alpha may change, modify, suspend, or discontinue any aspect of the Site or the services at any time without notice. If a technology malfunction materially affects the outcome of an auction, Auction-Alpha reserves the right to withdraw the auction within 72 hours following the original auction close time. 8. Proprietary Rights & Intellectual Property Users acknowledge and agree that Auction-Alpha and/or its licensors own all intellectual property rights in the Site and the services, including but not limited to text, graphics, logos, images, software, and compilation of content. Except as expressly stated herein, Users are not granted any rights to, or in, patents, copyrights, database rights, trade secrets, trademarks (whether registered or unregistered), or any other rights or licenses in respect of the Site or the services. You may not reproduce, distribute, or create derivative works from any content without our prior written consent. 9. Indemnification & Hold Harmless As a condition of using the Site and the services, User agrees to indemnify, defend, and hold harmless City and Fields, LLC d.b.a. Bidable, its subsidiaries and affiliates, and their respective owners, managers, directors, officers, agents, partners, and employees, from and against any and all liabilities, losses, demands, claims, damages, costs, and expenses (including reasonable attorney's fees) suffered or incurred directly or indirectly arising from or related to: 10. Disclaimer of Warranties CITY AND FIELDS, LLC D.B.A. BIDABLE MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE ITEMS SOLD THROUGH THE SITE OR THEIR CONDITION, AND EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES OR REPRESENTATIONS, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. USER ACKNOWLEDGES AND AGREES THAT ALL ITEMS ARE SOLD “AS IS,” WITHOUT WARRANTY OF ANY KIND, UNLESS EXPLICITLY STATED OTHERWISE IN THE ITEM LISTING. AUCTION-ALPHA MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE SITE OR THE SUITABILITY, LEGALITY, OR ACCURACY OF THE INFORMATION, PRODUCTS, AND SERVICES DESCRIBED OR CONTAINED ON THE SITE. THE SITE AND ALL SUCH INFORMATION, PRODUCTS, AND SERVICES ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND. 11. Limitation of Damages & Liability IN NO EVENT SHALL CITY AND FIELDS, LLC D.B.A. BIDABLE BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE SERVICES, THE SITE, OR WITH THE DELAY OR INABILITY TO USE THE SITE, OR ANY INFORMATION, PRODUCTS, AND SERVICES AVAILABLE ON OR THROUGH THE SITE, INCLUDING WITHOUT LIMITATION LOSS OF REVENUE, ANTICIPATED PROFITS, LOST BUSINESS, OR LOST SALES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF AUCTION-ALPHA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. The total liability of Auction-Alpha arising from or related to the purchase of an item in an auction, whether based in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the total amount paid to Auction-Alpha for such item. You acknowledge and agree that the foregoing limitations have been bargained for and represent a reasonable allocation of risk. These limitations shall apply notwithstanding any failure of essential purpose of any limited remedy. 12. Notice Any formal notice given to Bidable under these Terms and Conditions shall be in writing and in English and shall be served by mailing via overnight delivery service to City and Fields, LLC d.b.a. Bidable at the mailing address published on our Site, or to such other address as Auction-Alpha may specify from time to time. For the avoidance of doubt, notice given by Users to Auction-Alpha shall not be validly served if sent by standard e-mail alone. Notices to Users by Auction-Alpha may be sent to the e-mail address provided during the registration process. Receipt of such notice is deemed to have occurred twenty-four (24) hours after an e-mail is sent. Auction-Alpha may also deliver notices by any other method to any address provided by the User. 13. Choice of Law & Venue ALL DISPUTES CONCERNING THESE TERMS AND CONDITIONS OR RELATING TO OR ARISING FROM YOUR USE OF THE SITE OR SERVICES SHALL BE EXCLUSIVELY GOVERNED BY AND INTERPRETED IN ACCORDANCE WITH THE LAWS OF THE STATE OF INDIANA. YOU AGREE THAT THE STATE AND FEDERAL COURTS SITTING IN MARION COUNTY, INDIANA, USA, SHALL HAVE PROPER AND EXCLUSIVE JURISDICTION AND VENUE FOR ANY PROCEEDINGS CONCERNING THESE TERMS AND CONDITIONS OR RELATING TO OR ARISING FROM YOUR USE OF THE SITE OR SERVICES. YOU CONSENT IRREVOCABLY TO THE JURISDICTION OF THE AFOREMENTIONED COURTS AND AGREE THAT THE VENUE PROVIDED ABOVE IS THE MOST CONVENIENT FORUM FOR BOTH PARTIES. YOU WAIVE ANY OBJECTION TO VENUE OR JURISDICTION AND ANY OBJECTION BASED ON A MORE CONVENIENT FORUM. You irrevocably consent to process in any legal action or proceeding arising out of or in connection with these Terms being served in accordance with the provisions relating to service of notices. Nothing herein shall affect the right to serve process in any other manner permitted by applicable law. 14. Waiver of Jury Trial YOU HEREBY EXPRESSLY WAIVE ANY RIGHT TO TRIAL BY JURY OF ANY CLAIM, DEMAND, ACTION, OR CAUSE OF ACTION CONCERNING THESE TERMS AND CONDITIONS OR RELATING TO OR ARISING FROM YOUR USE OF THE SITE OR SERVICES, WHETHER SOUNDING IN CONTRACT, TORT, OR OTHERWISE. YOU AGREE AND CONSENT THAT ANY SUCH CLAIM, DEMAND, ACTION, OR CAUSE OF ACTION SHALL BE DECIDED BY A COURT AT A BENCH TRIAL WITHOUT A JURY, AND THAT AUCTION-ALPHA MAY FILE AN ORIGINAL COUNTERPART OR COPY OF THIS SECTION WITH ANY COURT AS WRITTEN EVIDENCE OF YOUR CONSENT TO THE WAIVER OF YOUR RIGHT TO TRIAL BY JURY. 15. SMS / Text Message Communications By creating an account on bidablein.com and providing your phone number, you agree to receive recurring automated text messages from Bidable (City and Fields, LLC) including auction alerts, bid confirmations, pickup notifications, and promotional offers. Consent is not a condition of purchase. Program name: Bidable Alerts Message frequency: Message frequency varies based on your activity and preferences. Message & data rates may apply. To opt out at any time, reply STOP to any message. You will receive one final confirmation message and no further messages will be sent. To re-subscribe, reply START. Continued use of the services and the Site constitutes acceptance of these Terms and Conditions, including any amendments. Should any single provision of these Terms and Conditions be or become fully or partially invalid, illegal, or unenforceable, the remainder of these Terms and Conditions shall continue in full force and effect. Failure or neglect by Auction-Alpha to enforce at any time any of the terms hereof shall not be construed as, nor shall it be deemed to be, a waiver of Auction-Alpha's rights hereunder nor shall it in any way affect the validity of any part of these Terms and Conditions nor prejudice Auction-Alpha's rights to take subsequent action. Auction-Alpha will not be liable for any delay or failure to comply with its obligations under these Terms and Conditions if such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, power outages, internet service interruptions, or other force majeure events. 17.
