As a condition of the Bidder’s participation in this auction, the Bidder agrees to indemnify and hold harmless Coast and Country, LLC and its members, managers and officers from any action arising out of this auction that constitutes a material breach or violation of Coast and Country, LLC’s duties under this Agreement. 7. Any claim, controversy, debt collection or dispute proceedings between a bidder and Coast and Country, LLC shall be settled by final and binding arbitration in the Loudoun County, Virginia in accordance with the Commercial Arbitration Rules of the American Arbitration Association (provided, that a single arbitrator shall be appointed and minimal discovery shall be permitted in accordance therewith) and judgment upon the award rendered by such arbitrator may be entered in any court having jurisdiction thereof. 8. This auction shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws or choice-of-law principles.
