Michael “Mike” Snite Antique, Curio & Modern Firearms/Saber Estate Auction Lawson & Company Gallery April 17, 2021, 10 a.m. E.S.T - AN 18% BUYER'S PREMIUM IS IN EFFECT FOR THIS AUCTION Michael “Mike” SniteEstate Auction The estate sale of Mike Snite’s antique and relic firearms and sabers will be a walk through American Western and military history. Mike, who passed away in early 2019, focused on three things with his collection – Winchester repeating rifles in varying calibers, Colt SAA revolvers and Model 1840 Dragoon cavalry sabers. Mike was very particular with his purchases. He verified internal serial numbers and markings. Every firearm was considered museum grade. Mike’s business card read simply “Collector of Winchester repeating rifles,” but his fondness for Colt SAA’s was obvious. He was very interested in the Old West. Mike also owned 1911s, some percussion cap Dragoons and at one point a Gatling gun. His collection includes other firearms and weapons, and some interesting gun leather. A former president of Michigan Antique Arms Collectors (1983-1984) – he held every leadership position there over more than 25 years – in May 1974 Mike had the show’s best handgun display of Colt SAA’s. He won the “Ten Best Arms” award at the 1989 NRA Convention. He also belonged to the Ohio Gun Collector’s Club (a 47-year member) and Maryland Arms Collector’s Association. A career commercial pilot, Mike also was a sailing enthusiast, owning two sailboats. He belonged to the Great Lakes Cruising Club out of Chicago for a quarter century. Mike’s father, John T. “Bud” Snite, co-founded the club in 1933-34, and was its Commodore in 1937. Mike’s estate includes some interesting maritime collectibles to include Morris Rosenfeld photographs and two Frederic Cozzens chromolithographs. Mike’s collection will be auctioned on April 17, 2021, at 10:00 a.m. Eastern Time. Auction Terms & Conditions 1. TERMS & CONDITIONS OF SALE. The following conditions of sale make up the entire terms and conditions on items listed for auction Lawson & Co. All bidders who participate by bidding in this auction agree to the terms and conditions of sale and agree to be bound by same. Any notices, posted or oral, during the sale, are also part of our terms and conditions of sale agreement. Acceptance of a bidder card or a bidder number constitutes acceptance of the following terms and conditions of sale. The purchaser's rights and Lawson & Co.’s respective rights and obligations hereunder are governed by Indiana law. By bidding at Lawson & Co.’s auction, whether in person or by agent, sealed bid, telephone bid, via the internet or other means, the purchaser or bidder agrees that the contract created by these terms and conditions of sale is made and performed in Hendricks County, State of Indiana, and further agrees that should any dispute arise from this contract the sole and exclusive jurisdiction for contractual disputes is Hendricks County, State of Indiana. THE AUCTIONEER IS NOT RESPONSIBLE FOR ANY ERRORS OF THE PURCHASER INCLUDING BUT NOT LIMITED TO THE PURCHASER BIDDING ON THE WRONG LOT. 2. NO FOREIGN SALES. Lawson & Co. will not make sales to any bidders or purchasers outside of the United States. 3. BUYER'S PREMIUM. All bid prices "hammer prices" ("hammer prices" mean the price at which a lot is knocked down to the purchaser) will be subject to a buyer's premium 18.0% payable by the purchaser. This is not an aggregate percentage on the total items bid, but rather a per item percentage rate. 4. Indiana sales tax of 7.0% will be collected. Generally, all items included on the invoice are taxable. To establish a tax-free sale, a copy of a valid reseller's permit or other instrument or information as required by the applicable state, must be provided AT THE TIME OF REGISTRATION and to Lawson & Co.’s satisfaction establishing a sales tax exemption. Any purchaser claiming a tax exemption yet unable to provide proof at or before registration will be required to pay the tax to Lawson & Co. and seek a refund from the applicable state. 5. METHOD OF PAYMENT. Auction sales are strictly for cash (including bank wire) or credit card. Pre-authorization will occur at registration where possible. Payment shall be made in US Dollars (USD). Note to credit card users: If your purchases total over $2000, you may be required to pay by bank wire. 6. TERMS OF PAYMENT. At the announcement of "SOLD", the highest bidder will have purchased the offered lot. All sales are final at the fall of the Auctioneer's hammer or at the announcement of "SOLD". The purchase is subject to all the terms and conditions set forth herein. The purchaser assumes full responsibility thereof and if requested will sign a confirmation of the purchase. The purchaser further agrees to pay the Total Amount Due. The Total Amount Due must be paid in full the day of sale. 7. WITHDRAWAL. Lawson & Co. reserves the right to withdraw any property from the auction prior to sale. 8. PROTESTS, DISPUTES AND THE AUCTIONEER. Lawson & Co. reserves the right to reject a bid from any bidder. The highest bidder, acknowledged by the Auctioneer, will be the purchaser. The Auctioneer shall have sole and final discretion as to the disposition of any dispute including the re-offer and resale of any article in dispute. Lawson & Co.’s records will be deemed conclusive in all respect in the event there is any dispute after the sale. 9. FAILURE TO DELIVER PURCHASER'S PROPERTY. If Lawson & Co. is prevented by fire, theft, a force majeure event including but not limited to complications due to the COVID-19 global pandemic, or any other reason from delivering any property to the purchaser, Lawson & Co.’s liability shall be limited to the sum actually paid therefore by the purchaser and shall in no event include any incidental or consequential damages. 10. GUARANTEE. All property offered for sale is as is, where is. ALL SALES ARE FINAL. THERE WILL BE NO REFUNDS AND NO EXCHANGES. Lawson & Co. does not guarantee or make warranties on any lot sold. Lawson & Co. does not warrant the accuracy, genuineness, authenticity, condition, functionality or description of any of the lots specified orally or in writing. We recommend that you make a personal examination of the objects for which you wish to bid whenever possible. 11. FIREARMS LAWS. All post - 1898 firearms must be registered in compliance with federal and Indiana state law. Purchasers of post - 1898 firearms must complete state and federal registrations forms at registration before receiving a bidder number. All firearms shipped from Lawson & Co. shall be shipped to a licensed FFL dealer. All shipping, handling & insurance costs shall be at the cost of the purchaser and will be collected by Lawson & Co. prior to shipment. 12. CLASS 3. All firearms designated as Class 3 must be registered in compliance with the NFA registry. Upon purchase, all interstate transfers are done through a third-party Class 3 dealer on the one hand, with an FFL/SOT License in your area on the other hand. Lawson & Co. makes no warranties or representations regarding the forms, fees, licenses and/or approvals required for you to own or use your purchased firearm(s), nor does it make any warranties or representations regarding the sufficiency of same. Consult with your federal, state, and local laws, law enforcement personnel, or legal counsel to make sure you may legally own, possess, or use the purchased firearm(s) and that all fees, licenses and approvals are completed. 13. CONDITION OF FIREARMS. Lawson & Co. makes no warranties or representations whatsoever and no employee or consultant of Lawson & Co. has the authority to do otherwise, concerning the operation of firing condition, fitness for use, safety to store, or reliability, of any firearm, ammunition, or parts. Use of any firearm or ammunition purchased at Lawson & Co. is entirely at the user's risk. Lawson & Co. offers for sale the lots as "collector" lots only. Lawson & Co. strongly recommends that all weapons, ammunition, etc. purchased at auction be examined by a competent gunsmith. Lawson & Co. expressly disclaims any liability whatsoever for accident, injury or damage resulting to any person from the storage or subsequent use of any such lot. 14. SHIPPING. All shipping and handling will be performed by Lawson & Co. along with UPS and the United States Postal Service. All items will be insured for the purchase price. All Shipping and handling fees are the responsibility of the purchaser. All firearms shipped from Lawson & Co. shall be shipped to a licensed FFL dealer local to the purchaser. All shipping, handling & insurance costs shall be at the cost of the purchaser and will be collected by Lawson & Co. prior to shipment. Lawson & Co. makes no representations or warranties with respect to shipping. Packaging, handling, or shipment is done entirely at the risk of the purchaser and Lawson & Co. shall have no liability with respect to any loss associated therewith. 15. LIMITATION OF LIABILITY. Intellectual Property Rights. We are the owner or the licensee of all intellectual property rights to and in our Sites and Services, and in the content published on them. Those rights are protected by copyright, trademark and other applicable laws, as well as by treaties around the world. Prohibited Uses. As part of our Sites and Services, we may provide access to data, information, and content relating to Listed Item(s) available for auction, including without limitation current and historical Listed Item(s) and related information, materials, and content (our "Auction Information"). Indemnification. You will indemnify, defend, and hold harmless Sandhills, its subsidiaries, affiliates, and each of their respective officers, directors, employees, agents, successors, and assigns (the "Indemnified Parties") from and against any claim or demand (including reasonable attorneys’ and experts’ fees and costs), made by any third party due to or arising out of (i) your breach of these Terms; (ii) your improper use of our Sites or Services; (iii) any personal injury, death, or property damage caused by or arising out of the listing, sale, transportation or use of any Listed Item(s); or (iv) your violation of any law or rights of a third party, including related to any User Content you provide or post. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you shall not in any event settle any matter without our written consent. While some jurisdictions may limit your liability hereunder, this indemnity shall apply to the fullest extent permissible by applicable law. 16. Release. IN THE EVENT THAT YOU HAVE A DISPUTE WITH ONE OR MORE OTHER USERS OF OUR SITES OR SERVICES, INCLUDING, WITHOUT LIMITATION, ANY OTHER BIDDER OR SELLER, ANY THIRD PARTY VISITOR TO THE SITES OR THE PROVIDER OF ANY THIRD PARTY WEBSITE OR APPLICATION THAT MAY BE LINKED TO OR FROM OUR SITES OR SERVICES, YOU HEREBY AGREE TO RELEASE, REMISE AND FOREVER DISCHARGE THE INDEMNIFIED PARTIES FROM ANY AND ALL MANNER OF RIGHTS, CLAIMS, COMPLAINTS, DEMANDS, CAUSES OF ACTION, PROCEEDINGS, LIABILITIES, OBLIGATIONS, LEGAL FEES, COSTS, AND DISBURSEMENTS OF ANY NATURE WHATSOEVER, WHETHER KNOWN OR UNKNOWN, WHICH NOW OR HEREAFTER ARISE FROM, RELATE TO, OR ARE CONNECTED WITH SUCH DISPUTE. 17. California Notice. General. a. Governing Law. These Terms are governed by and construed in accordance with the laws of the State of Nebraska, without regard to its conflict of law provisions. You irrevocably agree to the exclusive jurisdiction of the courts of Lancaster County, Nebraska, USA for any dispute arising out of these Terms. b. Translations. For all purposes, the English language version of these Terms shall be the original, governing instrument and understanding of the parties. In the event of any conflict between the English language version of these Terms and any subsequent translation into any other language, the English language version shall govern and control. c. Amendments. We may modify, add, or remove any portion of these Terms (including any Bidder User Terms, Seller User Terms and/or additional HiBid Terms and Conditions incorporated herein), from time to time, in our sole discretion, with or without notice to you, by posting such change on our Sites and/or Services. Once posted, such changes shall come into full force and effect. d. Entire Terms. The introductory paragraph, and any documents that are linked to or referenced in these Terms, are hereby incorporated by reference and made part of these Terms. Collectively, the foregoing constitute the entire agreement between the parties and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter of these Terms. e. Advice. Any guidance, discussions, or advice provided by Sandhills, its employees, independent contractors and agents related to using our Sites and Services, including but not limited to guidance for placing and/or bidding on Listed Item(s), is intended for general information purposes only. It is not intended as legal advice, and you agree that you will independently evaluate and not rely on such advice for any purpose. f. Headings. Headings used in this agreement are intended, and shall for all purposes be deemed to be, for convenience only and shall have no force or affect whatsoever in the interpretation of this agreement. g. Reformation. If a court of competent jurisdiction determines that the scope of any provision of these Terms is too broad to be enforced, the court shall reform such provisions to such narrower scope as it determines to be enforceable. h. Survival. Provisions of these Terms, which by their nature should apply beyond their terms, will remain in force after any termination or expiration of these Terms, including but not limited to, Sections 5, 9, 10, 14, 15, 16, 17, 18, and 19. i. Severability. If any provision of these Terms is determined to be unenforceable for any reason and is unable to be reformed by a court of competent jurisdiction as provided above, such provision shall be deemed separate and severable and the unenforceability of any such provision shall not invalidate or render unenforceable any of the remaining provisions hereof. j. Successors and Assigns. These Terms shall be binding upon and inure to the benefit of both parties and their respective successors and permitted assigns. These Terms may not be assigned by you without our prior written consent. We may freely assign these Terms to any third party. k. Waiver. No delay or omission by a party in exercising any right under these Terms shall operate as a waiver of that or any other right. A waiver or consent given by a party on any one occasion shall be effective only in that instance and shall not be construed as a bar or waiver of any right on any other occasion. l. Conflicts. The provisions set forth in these Terms shall prevail over a conflicting provision (if any) set forth in the Bidder User Terms or Seller User Terms. 20. International Availability. We do not represent that our Sites and Services are available worldwide, or that bidding, or any proposed purchase and sale transactions between users can occur in every location in the world. You agree to comply with all local rules regarding online conduct and acceptable content, including, without limitation, applicable laws regarding the transmission of data exported from the United States to the country in which you reside. BIDDER USER TERMS These Bidder User Terms (these "Bidder Terms") govern your access to and use of our Services as a Bidder. The Services can be accessed through https://www.HiBid.com. These Bidder Terms, shall be incorporated into the Terms of Use For HiBid, located here, and are collectively referred to herein as the "Terms." All terms used (including capitalized terms) and not defined herein shall have the meanings ascribed to them in the Terms of Use For HiBid. 1. Bidder Account Approval. Your account must be registered with and approved by us, in our sole discretion, before you can use our Services as Bidder. 2. Listed Item(s). We are not the owner, seller or auctioneer of the Listed Item(s) on our Sites. We do not inspect Listed Item(s), validate a Seller's ownership of or authority to sell Listed Item(s), or provide any representations or warranties concerning Listed Item(s). A Seller may require a Bidder to separately register with it prior to bidding on the Seller's Listed Item(s), and may permit or deny the additional registration at its sole discretion. 7. Transportation and Risk of Loss. We are not responsible for the transportation, delivery or risk of loss for any Listed Item(s). Except as otherwise set forth in any User Posted Terms, the Bidder with the winning bid will be responsible for all freight, shipping, and other costs related to transporting the Listed Item(s). You understand, acknowledge and agree that: a. When you submit a bid using our Services, your bid will be forwarded to the Seller and may be viewed by the Seller as a firm commitment and an irrevocable offer to purchase. Once you place a bid on our Site, it may not be retracted. If you have the winning bid, a Seller may hold you legally obligated to complete the transaction unless otherwise prohibited by law or regulation. b. By using our Services to bid on Listed Item(s), you grant us permission to share your information with Sellers, including, without limitation, your contact information (e.g., name, address, telephone, number, email address, etc.) and other information that you provide to us. c. You may place a max bid on Listed Item(s). When you place a max bid, our bidding technology will automatically place bids on your behalf, using the smallest increment necessary to ensure you remain the high bidder until your max bid is met. If another bidder has placed the same bid before you, or a max bid that is higher than yours, we will attempt to let you know that you have been outbid. In that situation, you may attempt to place another bid within the specific auction time. d. Auctions may have time extensions. If a Seller elects to use a time extension for Listed Item(s), the bidding period on the Listed Item(s) may be extended when a higher bid than the then-current top bid is placed prior to expiration of that auction.
