NOTICE: All merchandise will be sold "AS-IS, WHERE-IS" and NO REPRESENTATIONS or warranties of any kind expressed or implied are being made by Auctioneer or Seller with respect to the condition of the merchandise, its fitness for any particular purpose, or the quantities or descriptions or pictures being provided by Auctioneer. Buyers must do their own due diligence including conducting an inspection of the merchandise being auctioned and determining the quantities, descriptions and condition of all such merchandise contained in this catalogue and/or presented at auction. All Bidders agree that they have read and fully understand these terms and agree to be bound thereby. This sale is subject to Approval by the Bankruptcy Trustee. In the event the Trustee does not approve the sale for any reason, within 2 business days of the date of auction, the sale shall be null and void and any deposit monies held (pursuant to the Deposit & Payment terms and conditions) shall be promptly returned to the Buyer. These terms & conditions of sale are subject to change without notice. REGISTRATION: To qualify to participate and be deemed a “Registered Bidder”, a potential bidder must go onto the appropriate section on the AuctionAdvisor’s website and enter a valid credit card and be reasonably approved by AuctionAdvisors to participate in the Auction. This may include providing proof of funds necessary to consummate the transaction and a copy of the bidder’s driver’s license. Notwithstanding the foregoing, AuctionAdvisors reserves the right to deny "Registered Bidder" status to any party at any time at its sole discretion without advance notification. INSPECTIONS: Bidders may inspect the offering by appointment with the Auctioneer at Premier Car Restorations, 400 Kuller Road, Clifton, NJ 07011. NOTES ON BIDDING MECHANICS: Please note that this auction is subject to a “soft 3-minute close”- which mean the timing of any closing will be delayed by 3 minutes in the event someone places a bid on such lot in the last 3 minutes of bidding. For each additional bid thereafter, the bidding will extend for an additional 3 minutes. This is aimed at preventing sniping in the last moment of any auction. Therefore, bidders are encouraged to bid early and pay close attention at the end of any auction for last minutes bidders or use the “max bid” function on the auctioneer’s website to ensure your bids will be kept up automatically. DEPOSIT & PAYMENT: In order to participate in this auction you are required to agree that if you are the high bidder at auction, you shall unconditionally make an immediate (but no later than 24 hours) deposit of Twenty Five Percent (25%) of the total purchase price in the form of a wire transfer, to the “AuctionAdvisors, Escrow Account”. Wiring instructions will appear on your invoice. In the event the Trustee approves the sale, within 2 business days of auction, bidder is then unconditionally obligated to immediately (but no later than 24 hours) increase such initial deposit amount by the remaining Seventy Five Percent (75%) of the purchase price. Bidder acknowledges and agrees that the initial deposit plus any additional amounts subsequently paid by bidder as a deposit (the “Deposit”) must be equal to One Hundred Percent (100%) of the Purchase Price. Such deposit shall be non-refundable (in the event of Buyer default) and shall be applied to partially cover damages in the event you are in breach of the sale. If Bidder fails to make any of the required deposit payments within the above-referenced time frame or otherwise defaults under the terms of the sale, Seller shall be entitled to retain the Deposit or any parts held thereof (in whole or partial settlement of its claims and among/together with other available remedies) in accordance with the remedies set forth herein and the escrow agent holding such Deposit shall accordingly be duly authorized to release the money from escrow to Seller. BUYER’S PREMIUM: A Buyer’s Premium (“BP”) of fifteen percent (15%) will be added to the amount of successful Bidder’s high bid at auction. The total purchase price you shall pay shall therefore be 15% higher than the amount actually bid at auction by the successful Bidder. REMOVAL: The vehicle will be released to the successful Bidder after the Trustee’s approval of the Sale, payment of the Total Purchase Price and such funds clearing to the satisfaction of AuctionAdvisors. In addition to being paid in full, a successful Bidder must present a valid driver’s license and proof of insurance to drive the purchased vehicle prior to or concurrent with pick up. Successful Bidders must remove the vehicle from the applicable premises at their own risk, expense and liability. AuctionAdvisors is not responsible for items that are not removed within ten (10) days of the Trustee’s approval of the sale, or as otherwise set at the discretion of AuctionAdvisors. In the event any purchased item is not removed in a timely manner, AuctionAdvisors has the option of dumping, storing or re-selling any such item purchased, in addition to forfeiting any deposit amount paid. The costs associated with any such activities shall be at the expense and risk of the successful Bidder. SPECIAL NOTICE FOR VEHICLE PURCHASES: Vehicles and their contents will be sold "AS IS, WHERE IS," with no warranties, either expressed or implied, including, but not limited to, any warranty of use or merchantability. Buyer agrees that all vehicles are being offered "With All Faults." All bidders, including Buyer, are responsible for inspecting vehicles prior to bidding and each bidder represents that it has done so and is being allowed to bid at this auction in reliance upon such representation. Neither Auctioneer nor Seller shall be responsible for any printed errors or omissions in regard to year, make, model or mileage of vehicles or any other defects. The successful bidder must register the vehicle with the state Motor Vehicle Department after purchasing it and assumes full responsibility and costs for affecting the transfer and ownership registration. Seller warrants and covenants that it has title to, and is the true and legal owner of the vehicles being auctioned herein (subject to express exception below); that all vehicles are being sold free and clear from any liens unless otherwise indicated; and that Seller has the power and authority to sell and transfer title to any vehicle, subject to approval. The original title will be mailed to the successful Bidder via guaranteed mail. Such original title will be delivered within approximately fifteen (15) days, however, in the event the Trustee is acting reasonably and in good faith, failure to meet such time frame shall not be a risk assumed by the Trustee or AuctionAdvisors. In coordination with Auctioneer, bidders are responsible for vehicle transportation/removal of the vehicles from the auction site. Individuals must be at least 18 years old in order to bid on any vehicle. Do not bid on any vehicle unless you understand all the terms and conditions of this auction. By bidding, you are acknowledging and agreeing to comply with all such terms and conditions. If you are a winning bidder, you will provide us with a valid address in order to send the title. Your auction receipt will serve as your bill of sale. PRIOR TO BEING ALLOWED TO REMOVE ANY VEHICLES, THE WINNING BIDDER (IN ADDITION TO SUCH OTHER CONDITIONS EXPLICITLY SET FORTH HEREIN) MUST HAVE TENDERED FULL PAYMENT FOR THE VEHICLES AND PRESENTED VALID PROOF OF INSURANCE TO DRIVE THE PURCHASED VEHICLE. In the unlikely event that the Trustee does not confirm the sale, any monies held on deposit will be promptly returned to you.
